1. SCOPE OF AGREEMENT
This Agreement, including all Appendices, as defined below, states the terms under which Buyer will purchase the Products from Seller. During the term of this Agreement, Seller agrees to supply Buyer with such Products based on Buyer’s requirements.
2. VALIDITY
Orders may be placed under the terms of this Agreement by the XXX legal entities mentioned in Appendix D.

3. PRICING

If a conflict exists between any of the pricing structures identified in this Agreement or its appendices, the lowest price shall apply. The pricing structure includes any applicable documentation/manuals, handling and packing. Seller agrees that special reduced pricing will, subject to mutual agreement between Seller and Buyer’s European ZZZ group, be made available on a project specific basis when requirements warrant unique attention to deal with competitive market pressures.

Procedural History
Petitioner filed his Petition for the Return of a Child on July 25, 20__, pursuant to The Convention on the Civil Aspects of International Child Abduction, done at the Hague on October 25, 1980' (hereinafter the "Hague Convention") and the International Child Abduction Remedies Act (hereinafter "'CARA."). Petitioner subsequently filed a Notice of Motion and Motion for an Order to Show Cause and related relief. The Court issued a Notice of Petition Under the Hague Convention and Order to Show Cause on August 8, 20__, which were duly served on Respondent. A hearing was held in this matter on August 26, 20__.
After consideration of both parties' pleadings, the arguments of counsel, and the complete file related to the August 26, 20__, hearing, the Court issued an Order and Memorandum on September 18, 20__, which is incorporated herein by reference, holding that:
1) The child's place of habitual residence is Italy;
2) That Petitioner bad rights of custody;
3) That Petitioner was exercising his rights of custody and that there was no merit to Respondent's claims that Petitioner had abandoned the child;

a. To determine the date on which Petitioner had notice that Respondent intended to retain the minor child in United States for purposes of determining whether the period of one year had elapsed;

Storia del processo
In data 25 luglio 20__, il Ricorrente ha presentato la sua Istanza di ritorno di minore in applicazione della Convenzione sugli Aspetti Civili della Sottrazione Internazionale di Minori, firmata a L'Aia il 25 ottobre 1980 (in prosieguo: la "Convenzione dell'Aia") e la International Child Abduction Remedies Act (Legge sui rimedi contro la sottrazione internazionale di minori (in prosieguo: "ICARA"). Successivamente, il Ricorrente ha presentato un Avviso di istanza giudiziale ed un’Istanza per un ordine di esibizione e relativa assistenza. Il Tribunale ha emesso un Avviso di presentazione di domanda giudiziale in applicazione della Convenzione dell'Aia e un Ordine di Esibizione in data 8 agosto 20__, che sono stati validamente notificati al Ricorrente. L'udienza relativa si è tenuta il 26 agosto 20__.
Dopo l'esame delle memorie di entrambe le parti, le argomentazioni dei difensori, e il file completo relativo all'udienza del 26 agosto 20__, il Tribunale ha emanato, in data 18 settembre 20__, un Memorandum and Order [Ordinanza] che si riporta qui di seguito, ritenendo che:
5) Il luogo della dimora abituale della minore è l'Italia;
6) Il diritto di custodia spettava al Ricorrente;
7) Il Ricorrente stava esercitando il suo diritto di custodia ed erano prive di valore le asserzioni della Resistente secondo cui il Ricorrente aveva abbandonato la figlia minorenne;
8) Si sarebbe tenuta una udienza probatoria limitatamente alle seguenti questioni:
c. Per stabilire la data in cui il Ricorrente aveva avuto notizia del fatto che la Resistente intendeva trattenere la figlia minorenne negli Stati Uniti, allo scopo di stabilire se il periodo di un anno fosse trascorso;
d. Per stabilire se la Resistente possa dimostrare che si applichi una delle deroghe di cui agli articoli 12, 13, o 20 per impedire il ritorno in Italia della figlia minorenne.

- Le mois de septembre a été marqué par l’accentuation de la crise financière aux Etats-Unis. Cette aggravation a débuté avec la faillite de Lehman Brothers le 15 septembre et le sauvetage par le trésor américain d’AIG, trois jours plus tard. Le weekend précédent, Merril Lynch était contraint de se marier rapidement avec Bank of America afin d’éviter la faillite. Cette situation de déliquescence du système financier américain a généré une forte incertitude sur les marchés financiers qui s’est directement traduit par une fuite vers la qualité (achat de bons du trésor trois mois) de la part des investisseurs.
- L’inquiétude des investisseurs est très forte aux Etats-Unis. Le graphique en bas à droite reflète ce sentiment. Dans le cas des Etats-Unis, cet indicateur de liquidités sur les marchés monétaires est monté de plus de 200 points de base depuis la mi-septembre, reflétant la paralysie du marché interbancaire.
- Les marges de manœuvre de la banque centrale américaine, en matière de baisse de taux sont limitées. Le taux des Fed Funds cible est actuellement de 2 %. La crise financière qui paralyse actuellement les différents marchés de crédit a conduit celle-ci à prendre des mesures exceptionnelles. Elle a notamment augmenté le montant de son bilan afin d’avoir plus de liquidités pour prêter aux banques.
- En zone euro, le principal taux directeur est de 4.25 %. Un assouplissement de la politique monétaire ne réglerait pas tous les problèmes mais permettrait de donner un peu d’oxygène aux banques.
- Nous optons pour une baisse des taux directeurs de la banque centrale européenne, d’ici la fin de l’année.

- I margini di manovra della Banca centrale americana in materia di riduzione dei tassi sono limitati. Il tasso dei target Fed Funds è al momento del 2%. La crisi finanziaria che paralizza attualmente i diversi mercati del credito ha indotto quest'ultima a prendere misure eccezionali. In particolare, è stato aumentato l'ammontare del suo bilancio per disporre di più liquidità da poter prestare alle banche.
- Nell'eurozona, il principale tasso direttore è del 4,25%. Un alleggerimento della politica monetaria non risolverebbe tutti i problemi, ma permetterebbe di offrire un po' di ossigeno alle banche.
- Optiamo per una riduzione dei tassi direttori della Banca centrale europea, entro la fine dell'anno.
