2. SUBSCRIPTION FOR THE SUBSCRIPTION SHARES
2.1 Subject to fulfilment of the Conditions Precedent, the Subscriber shall at Completion subscribe the Subscription Shares.
2.2 Subject to fulfilment of the Conditions Precedent, the Company shall at Completion issue the Subscription Shares to the Subscriber.
3.2 The obligations of the Subscriber hereto to effect Completion shall be conditional upon:-
(a) the obtaining of the following consents, approvals and authorisations or completion of the following registration or filings (as the case may be):
(i) registration and filings having been completed by the parties hereto in accordance with the PRC Anti-Monopoly Law in respect of execution of this Agreement and the transactions contemplated in this Agreement and the receipt of merger clearance from the MOC under the PRC Anti-Monopoly Law or the expiry of the review period(s) stipulated under Article 25 or Articles 25 and 26 of the PRC Anti-Monopoly Law without the parties having received any further examination notice or prohibition decision from the MOC;

2. 引受株式の引受け
2.1 停止条件が成就した場合、引受人は、債務履行として、引受株式を引き受けなければならない。
2.2 停止条件が成就した場合、本会社は、債務履行として、引受人に引受株式を発行しなければならない。
3.2 本契約において債務履行をする引受人の義務は、以下の事項を条件とする。
(a) 以下の同意、承認および許可を得ること、または以下の登録もしくは申請 (場合による) が完了すること
(i) 本契約の当事者が、本契約の締結および本契約で考慮されている取引に関し、中国独占禁止法に従って、登録および申請を完了し、かつ、中国独占禁止法に基づきMOCから合併承認を受領すること、または当事者が更なる審査の通知もしくは禁止決定をMOCから受領することなく、中国独占禁止法25条もしくは25条および26条に規定された審査期間が経過すること、 |
