Los Otorgantes consignan que ZZZZZZZZZZ, Inc. otorga por el presente un PODER GENERAL DE ADMINISTRACIÓN Y DISPOSICIÓN a favor de XXXXX, de modo tal que, en su nombre y representación éste tome parte en todas las cuestiones y asuntos administrativos, comerciales o industriales, cualquiera fuera su naturaleza y cualquiera fuera su jurisdicción. Para el cumplimiento de este poder, se autoriza a XXXXX a realizar cualquiera de los actos que se enumeran a continuación, no obstante lo cual, en ningún caso se le permitirá obligar, comprometer o de cualquier otro modo gravar a ZZZZZZZZZZ, Inc. en sumas que excedan los US$10.000,- (diez mil dólares estadounidenses), ni eximir, o de algún otro modo relevar a ZZZZZZZZZZ, Inc. de obligaciones que excedan los US$10.000,. B) CONTROL ADMINISTRATIVO: Sujeto a las limitaciones generales establecidas anteriormente, peticionar ante toda autoridad pública nacional, provincial o municipal y a sus organismos o sucursales en general, ministerios, organismos legislativos, municipalidades, organismos gubernamentales de retiro y/o cajas de jubilaciones, aduanas, correos, Empresas de Electricidad: AAA, BBB y/o Empresas Telefónicas: CCCCC, DDDDDD, EEEEEEEE (Organismo Nacional para la Provisión de Agua), FFFFFFFF, Servicios de Control de Ingresos o Autoridades Impositivas, Dirección General Impositiva, Administración Federal de Ingresos Públicos (AFIP), Inspección General de Justicia, Policía Federal o Provincial, Empresas de Transporte nacionales, provinciales, privadas o mixtas que operen por tierra, aire, río y/o mar, por todo tipo de cuestiones de su competencia, así como también Planes Médicos nacionales o provinciales, Seguros de Salud Privados, con facultad para presentar escritos, títulos, certificados y documentos, cualquiera fuera su naturaleza.
C) LOCACIÓN: Sujeto a las limitaciones generales establecidas anteriormente, locar o sublocar como locador o locatario cualquier tipo de bienes reales o personales, incluso durante un plazo mayor al legalmente establecido, con o sin contrato, ajustando en cada caso los alquileres y los términos y condiciones de la locación o sublocación, con facultad para otorgar, aceptar, rescindir, enmendar, renovar o extender los contratos respectivos. Sujeto a las limitaciones generales establecidas anteriormente, ceder y aceptar cesiones de locaciones; cobrar, recibir o abonar alquileres, otorgar y/o solicitar de los locatarios o sublocatarios el pago de impuestos, gastos y reparaciones a su cargo.
D) ADQUISICIÓN Y DISPOSICIÓN DE BIENES: Sujeto a las limitaciones generales establecidas anteriormente, adquirir la propiedad, co-propiedad o dominio nudo de todo tipo de bienes reales urbanos, usufructo, uso y habitación, bienes personales, ganado, vehículos y/o automóviles, créditos, derechos, acciones, certificados o bonos de hipotecas, y otros títulos cotizables, marcas de fábrica, patentes, bienes a término, mercaderías y otros títulos de crédito o instrumentos negociables, ya sea mediante compra, permuta, cesión, pago, legado, adjudicación, partición o disolución de co-propiedad o liquidación de sociedades anónimas, o mediante cualquier otro título oneroso o gratuito, disponer de todos los bienes de la misma naturaleza incluidos en sus activos, ya sea mediante venta, permuta, pago, cesión, legado, partición o disolución de co-propiedad o de transferencias de titularidad, co-titularidad o dominio nudo, o mediante cualquier otro acto o contrato nominado o innominado, por una contraprestación susceptible de apreciación pecuniaria, con facultad para acordar en cada caso de compra y disposición respecto de las formalidades, términos, condiciones, precios y condiciones de pago, ya sea en efectivo o en cuotas, con o sin garantías reales o personales. Sujeto a las limitaciones generales establecidas anteriormente, proporcionar títulos, acciones y demás documentos como garantía. Sujeto a las limitaciones generales establecidas anteriormente, abrir y cerrar cuentas corrientes, cuentas de ahorro o cajas de seguridad y depositar dinero, títulos de crédito o documentos en ellas, y con facultad para retirar todo o parte de ellos, así como también todos los depósitos efectuados previamente.
