NOW THEREFORE, it is agreed as follows:
1. Term and Termination. Subject to the other provisions of this Agreement, the term of this Agreement shall commence as of the Effective Date and terminate upon 30 days written notice delivered by either party.
2. Services. SRL agrees to provide to SA from time to time the services (the "Services") set forth in Exhibit "A" attached hereto and by this reference incorporated herein.
3. Compensation. SA agrees to pay SRL for the Services set forth in Exhibit "A" according to the methods set forth therein. As Compensation for the services to be provided by SRL hereunder, SA agrees to pay SRL a fee equal to 110% of the costs incurred by SRL in connection with such services including payments to third parties,directs costs of SRL personnel and a reasonable allocation of SRL’s indirect and overhead costs.
4. Payment for Services. SRL will invoice SA for its Services on a yearly basis, including with each invoice, to the extent requested by SA, such documentation as is reasonably required by SA to satisfy external auditors as to the validity of the charges. SA agrees to pay SRL within ten (10) days of receipt of SRL’s invoices. Overdue payments shall bear interest at the Prime Rate plus 2% per annum or the highest interest rate allowed by law, whichever is less, from the time payment is due until such payment is received in full. | Translation - Spanish
POR LO TANTO, se acuerda lo siguiente:
1. Plazo y Rescisión. Sujeto a las otras cláusulas del presente Contrato, el plazo del mismo comenzará en la Fecha de Entrada en Vigencia y podrá rescindirlo cualquiera de las partes con una notificación por escrito de 30 días de antelación.
2. Servicios. SRL conviene brindar ocasionalmente a SA los servicios (los "Servicios") establecidos en el Anexo "A" adjunto, el cual forma parte del presente contrato
3. Compensación. SA conviene pagar a SRL por los Servicios establecidos en el Anexo "A" de acuerdo con los métodos allí establecidos. Como Compensación por los servicios a ser prestados por SRL en virtud del presente, SA conviene pagar a SRL una comisión equivalente al 110% de los costos en los que esta última incurriera en relación con dichos servicios, inclusive pagos a terceros, costos directos de personal de SRL y una distribución razonable de los costos fijos e indirectos de SRL.
4. Pago por Servicios. SRL facturará a SA por sus Servicios en forma anual, incluyendo en cada factura, en la medida en que así lo requiriese SA, la documentación que razonablemente solicite SA para cumplir con sus auditores externos en lo que respecta a la validez de los cargos. SA conviene pagar a SRL dentro de los diez (10) días de recibidas las facturas. Los pagos fuera de término devengarán un interés a Tasa Prime más 2% anual o la mayor tasa de interés legalmente permitida, la que sea menor, desde el momento de vencimiento del pago hasta que el mismo es totalmente efectivizado. |
