IL A ETE PREALABLEMENT EXPOSE CE QUI SUIT:
Vu le Dahir n01-10-16 du 26 Safar 1431 (11 février 2010) portant promulgation de la loi n° 1309 relative aux énergies renouvelables publiée au bulletin officiel du 18 mars 2010 (la "Loi ");
Vu le Décret n° 2-10-578 du 7 joumada 11432 (11 avri12011) pris pour I'application de la loi n° 13-09 relative aux énergies renouvelables.
Considérant que, conformément a I'article 8 de la loi n° 13-09, l'Exploitant est titulaire des autorisations provisoires nO[e], n° [e] et [e] (I(es) "Autorisation(s) Provisoire(s)")
En conséquence, I'ONE et l'Exploitant se sont rapprochés afin de conclure la présente convention d'accés au réseau électrique national de transport (la "Convention d' Accés").

Article 1
Clauses Générales
1.1 Objet
La Convention d'Accés a pour objet de définir les conditions et modalités relatives a I'accés au Réseau Public d'Electricité et au transport de I'énergie électrique des Sites de Production aux Sites de Consommation.
1.2 Entrée en vigueur - Durée
La Convention d'Accés entrera en vigueur a la date de signature de la Convention de Raccordement du premier Site de Production objet de la présente Convention.
La présente Convention d'Accés restera en vigueur tant qu'une Autorisation relative a I'un des Sites de Production sera en vigueur sans pour autant dépasser vingt cinq ans a compter de la date d'obtention de la demiére Autorisation Définitive.
Pour le calcul de la durée susvisée, seules seront prises en considération les Autorisations Définitives obtenues au plus tard 5 ans de la date d'entrée en vigueur de la présente Convention.
e 11 reste entendu entre les Parties que la présente Convention aprés son entrée en vigueur jusqu'a son extinction normale ou anticipée ne sera applicable que pour les Sites de Productions dont l'Exploitant dispose d'une Autorisation ;
e la présente Convention s'appliquera pour une durée de 25 ans a compter de la date
d'obtention de I'Autorisation Définitive pour chaque Site de Production.
La durée de vingt cinq ans susvisée est renouvelable une seule fois sous réserve de I'obtention par I'Exploitant, pour les Sites concemés, des Autorisations requises en vertu de la réglementation en vigueur. 11 reste entendu que, deux années avant la fin de la durée suscitée, les Parties s'engagent a négocier de bonne foi les termes et conditions de la reconduction de la présente Convention.

FOLLOWING WHICH, IT IS HEREBY AGREED AS FOLLOWS:
Article 1
General Clauses
1.1 Objective
The objective of the Access Agreement is to define the conditions and methods relating to access to the Public Electricity Network and to the transmission of electrical energy from the Production Sites to the Consumption Sites.
1.2 Effective Date - Duration
The Access Agreement becomes effective on the date on which the Connection Agreement for the first Production Site is signed, which is the object of the present Agreement.
The present Access Agreement will remain in force as Authorisation pertaining to one of the Production Sites and will be effective for a period not exceeding twenty five years starting from the date when the last Final Authorisation was obtained.
To calculate the above mentioned duration, only Final Authorisations will be considered, obtained, at the latest, 5 years from the date when the present Agreement came into force.
• it is understood between the Parties that the present Agreement, after it becomes effective and until its normal or early termination, will only apply to Production Sites for which the Operator has Authorisation;
• the present Agreement will apply for a duration of 25 years starting from the date
when Final Authorisation was obtained for each Production Site.
The above mentioned period of twenty five years is renewable only once on the condition that the Operator obtains the required Authorisations for the Sites in question, in virtue of the current regulations. It is understood that, two years before the end of the above mentioned period, the Parties undertake to negotiate in good faith, the terms and conditions of the renewal of the present Agreement.
