Attachment E – Cellular Expert License
The additional terms and conditions set forth in this Attachment E are made a part of the Technological Services Framework Contract to Supply, Install, Operate, Maintain Specialized Network Systems & Software and Provide Training Thereon (the "Agreement") as a special condition applicable to the Agreement and shall govern the license of HNIT-Baltic’s Cellular Expert software provided to STC as set forth in individual Job Orders or an order for software.
THE SOFTWARE, RELATED MATERIALS AND SAMPLE DATA ARE SUBJECT TO ACCEPTANCE OF CELLULAR EXPERT SOFTWARE LICENSE AGREEMENT, WHICH SUPERSEDES ANY PREVIOUS LICENSE AGREEMENT(S), UNLESS IT IS SUPERSEDED BY SIGNING LICENSE AGREEMENT BETWEEN STC AND HNIT - BALTIC GEOINFOSERVISAS (HEREINAFTER REFERRED TO AS "HB-GIS"). HB-GIS IS WILLING TO LICENSE THE CELLULAR EXPERT SOFTWARE, RELATED MATERIALS AND SAMPLE DATA TO STC ONLY ON THE CONDITION THAT STC ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS SOFTWARE LICENSE AGREEMENT. IF STC DOES NOT AGREE WITH THE TERMS AND CONDITIONS AS STATED, THEN HB-GIS IS UNWILLING TO LICENSE THE SOFTWARE, RELATED MATERIALS AND SAMPLE DATA TO STC, IN WHICH EVENT, STC SHOULD RETURN THE UNOPENED, SEALED MEDIA PACKAGE, THE DISCS, AND ALL ACCOMPANYING PRINTED MATERIALS TO HB-GIS, ITS DEALER OR DISTRIBUTOR FROM WHOM THE SOFTWARE AND RELATED MATERIALS WERE OBTAINED FOR A FULL REFUND OF THE LICENSE FEES. HB-GIS WILL NOT REFUND THE LICENSE FEES IF THE SEALED MEDIA PACKAGE HAS BEEN OPENED.
This is a license agreement and not an agreement for sale. This license agreement (hereinafter referred to as “CE License Agreement”) is between the end user (hereinafter referred to as “Licensee”) and HNIT - BALTIC GEOINFOSERVISAS, UAB (hereinafter referred to as “HB-GIS”), and gives Licensee certain limited rights to use the proprietary HB-GIS's Cellular Expert Software, Software updates, Sample Data, on-line and hard-copy documentation, and Software keycode and/or hardware key (hereinafter referred to as "Software and Related Materials"). All rights not specifically granted in this CE License Agreement are reserved to HB-GIS.

HB-GIS retain exclusive rights, title, and ownership of the copy of the Software and Related Materials licensed under this CE License Agreement and, hereby, grants to Licensee a personal, nonexclusive, non-transferable license to use the Software and Related Materials based on the terms and conditions of this CE License Agreement. From the date of receipt, Licensee agrees to use reasonable effort to protect the Software and Related Materials from unauthorised use, reproduction, distribution, or publication.

The Software and Related Materials are owned by HB-GIS and are protected by copyright laws of the Republic of Lithuania and applicable international laws, treaties, and/or conventions.

Licensee may only use only one (1) copy of the Software and Related Materials on a single computer.
Licensee may only make one backup copy of the Software and Related Materials.
Licensee shall not resell, rent, lease, sublicense, lend, time-share, or transfer, in whole or in part, or provide unlicensed third parties access to any prior, present or Software updates of the Software and Related Materials.
Licensee shall not reverse engineer, decompile, or disassemble the Software or make any attempt to unlock or bypass time-out mechanism and/or the Software keycode and/or hardware key used.
Licensee shall not remove or obscure any HB-GIS copyright, trademark, and/or proprietary rights notices.
Licensee shall not alter, modify the Software or create derivative works of the Software.

HB-GIS warrants that the media upon which the Software and Related Materials are provided will be free from defects in materials and workmanship under normal use and service for the period of sixty- (60) Calendar Days from the date of receipt.
EXCEPT FOR THE ABOVE EXPRESS LIMITED WARRANTY, THE SOFTWARE AND RELATED MATERIALS ARE PROVIDED “AS IS ” AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED.
During the warranty period, HB-GIS’s entire liability and Licensee’s exclusive remedy shall be the return of license fees paid for the Software and Related materials that do not meet HB-GIS’s limited warranty and that are returned to HB-GIS or dealer or distributor from whom the Software and Related Materials were obtained.
IN NO EVENT SHALL HB-GIS BE LIABLE TO LICENSEE FOR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, LOST SALES OR BUSINESS EXPENDITURES, INVESTMENTS, OR COMMITMENTS IN CONNECTION WITH ANY BUSINESS, LOSS OF ANY GOODWILL, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS CE LICENSE AGREEMENT OR USE OF THE SOFTWARE, DATA SETS, SAMPLE DATA, AND RELATED MATERIALS, HOWEVER CAUSED, ON ANY THEORY OF LIABILITY, AND WHETHER OR NOT HB-GIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

This CE License Agreement constitutes the sole and entire agreement of the parties as to the matters set forth herein and supersedes any previous agreements, understandings, and arrangements between the parties relating hereto.
The license granted by this CE License Agreement shall commence upon Licensee’s receipt of the Software and Related Materials and shall continue until such time that (1) Licensee elects to discontinue use of the Software and Related Materials and terminates this CE License Agreement, or (2) HB-GIS terminates for Licensee’s material breach of this CE License Agreement. Upon termination of this CE License Agreement in either instance, Licensee shall return the Software and Related Materials to HB-GIS or dealer or distributor from whom the Software and Related Materials were obtained.
Any Amendments to this CE License Agreement must be in writing and signed by an authorised representative of each party.

This CE License Agreement shall be construed and enforced in accordance with the terms of the Agreement.
The Parties represent that duly authorized representatives as of the dates below execute this Attachment E.

الملحق هـ - ترخيص برنامج Cellular Expert
الشروط والأحكام الإضافية المحددة في الملحق هـ تعتبر جزء من عقد إطار الخدمات التقنية لتزويد وتركيب وتشغيل وصيانة نظم شبكات وبرمجيات متخصصة وتوفير التدريب المذكور بالاتفاقية كشرط قابل للتطبيق ويحكم ترخيص برمجيات HNIT-Baltic’s Cellular Expert التي تم تقديمها لشركة STC كما جاء في طلبات الوظائف أو طلبات البرمجيات. وتخضع البرمجيات والمواد المعنية ونماذج البيانات لقبول اتفاقية ترخيص برمجيات الخبرة الخلوية والتي تحل محل أي اتفاقية تراخيص سابقة إلا إذا حلت محلها اتفاقية الترخيص الموقعة بين STC وHNIT-BALTIC GEOINFOSERVISAS والتي يشار إليها باسم HB-GIS. وتكون HB-GIS راغبة في ترخيص برنامج الخبرة الخلوية والمواد المعنية ونماذج البيانات لشركة STC فقط في حالة قبول شركة STC لجميع الشروط والأحكام الموجودة باتفاقية ترخيص البرمجيات. وفي حالة رفض STC للشروط والأحكام المذكورة، فإن HB-GIS تكون غير راغبة في ترخيص البرمجيات والمواد المعنية ونماذج البيانات بشركة STC وهي تلك الحالة التي يجب أن تعيد فيها شركة STC صناديق أقراص البرامج المختومة والمغلقة والأقراص وجميع المواد المطبوعة المصاحبة بشركة HB-GIS أو الموزع أو التاجر أو المصدر الذي تم من خلاله الحصول على البرمجيات والمواد المعنية وذلك من أجل الاستعادة الكاملة لكافة رسوم الترخيص. ولن تقوم HB-GIS بإعادة رسوم الترخيص في حالة فتح صندوق أقراص البرامج المختومة.
هذه الاتفاقية اتفاقية ترخيص وليست اتفاقية بيع. وتعتبر اتفاقية الترخيص هذه (المشار إليها هنا باتفاقية ترخيص CE) اتفاقية بين المستخدم النهائي (المشار إليه هنا "بصاحب الترخيص") وشركة HNIT - BALTIC GEOINFOSERVISAS, UAB (المشار إليها هنا باسم “HB-GIS”)، وتعطي صاحب الترخيص حقوق محدودة لاستخدام برنامج Cellular Expert إنتاج شركة HB-GIS وتحديث البرنامج ونماذج البيانات والوثائق المطبوعة والموجودة على الإنترنت وشفرة استخدام البرامج و/أو مفتاح المكونات الصلبة (المشار إليها هنا بالبرمجيات والمواد المعنية). وجميع الحقوق غير المنصوص عليها بالتحديد في اتفاقية ترخيص CE تحتفظ بها HB-GIS.

تحتفظ HB-GIS بحقوق وعناوين وملكية نسخ البرمجيات والمواد المعنية الخاضعة لاتفاقية ترخيص CE وبالتالي تحتفظ لصاحب الترخيص بالترخيص الشخصي وغير الخاص والغير قابل للنقل لاستخدام البرمجيات والمواد المعنية على أساس الشروط والأحكام الخاصة باتفاقية ترخيص CE. ومنذ تاريخ الاستلام، يوافق صاحب الترخيص على استخدام الجهود المعقولة لحماية البرمجيات والمواد المعنية من الاستخدام غير المعتمد وإعادة الإنتاج والتوزيع أو النشر.

البرمجيات والمواد المعنية من أملاك HB-GIS وتحظى بحماية قانون حقوق النشر الخاصة بجمهورية ليتوانيا والقوانين والاتفاقيات والمعاهدات الدولية القابلة للتطبيق.

يكون من حق صاحب الترخيص استخدام (1) نسخة من البرنامج والمواد المعنية على حاسب واحد فقط.
قد يقوم صاحب الترخيص بعمل نسخة احتياطية فقط من البرنامج والمواد المعنية.
لا يقوم صاحب الترخيص بإعادة بيع أو تأجير أو عمل ترخيص من الباطن أو إقراض أو المشاركة أو النقل بشكل كلي أو جزئي أو توفير حق حصول طرف ثالث لا يحمل ترخيص على أي تحديث برامج سابق أو حالي خاص بالبرمجيات والمواد المعنية.
لا يحق لصاحب الترخيص تعديل أو فك أو تكسير أركان البرنامج أو القيام بأي محاولات لفك أو تجاهل آلية انتهاء الوقت و/أو شفرة البرنامج و/أو مفتاح المكونات المستخدم.
لا يحق لصاحب الترخيص التخلص من أو إخفاء أي من حقوق نشر أو العلامة التجارية أو أي من حقوق ملكية شركة HB-GIS.
لا يحق لصاحب الترخيص تعديل أو تغيير البرنامج أو إنتاج أعمال مشتقة منه.

تضمن شركة HN-GIS خلو القرص الذي يحمل عليه البرنامج والمواد المعنية من عيوب الخامات أو عيوب الصناعة تحت ظروف الاستخدام والخدمة العادية لمدة ستون (60) يوماً من تاريخ الاستلام.
وباستثناء الضمان المحدود المذكور أعلاه، توفر البرمجيات والمواد المعنية "كما هي" وبدون ضمانات خاصة بالأداء أو إمكانية التجارة أو أي ضمانات مبينة أو ضمنية.
وخلال فترة الضمان، تكون المسؤولية القانونية وتعويض صاحب الترخيص من خلال إعادة رسوم الترخيص المدفوعة من أجل البرنامج والمواد المعنية والتي لا تقابل بضمان HB-GIS المحدود والتي تعاد إلى HB-GIS أو التاجر أو الموزع الذي تم من خلاله الحصول على البرنامج والمواد المعنية. ولا يمكن بأي حال من الأحوال أن تكون شركة HB-GIS مسؤولة أمام صاحب الترخيص عن تكاليف تدابير استبدال البضائع أو تقديم الخدمات أو التعويض عن الخسائر أو المبيعات الخاسرة أو نفقات الأعمال أو خسارة إشهار المؤسسة التجارية أو أي أعطاب غير مباشرة أو خاصة أو طارئة أو هامة ناتجة عن اتفاقية ترخيص CE أو عن استخدام البرنامج أو وحدات البيانات أو نماذج البيانات والمواد المعنية بغض النظر عن سببها وبغض النظر عن مسئوليتها القانونية وبغض النظر عن إخبار HB-GIS بإمكانية وقوع مثل هذه الأعطاب. وتطبق هذه القيود على الرغم من أي فشل لأي من الأغراض الأساسية بخصوص العلاج المحدود.

تمثل اتفاقية ترخيص CE الاتفاقية الوحيدة والشاملة لجميع الأطراف بخصوص الأمور المذكورة هنا وتحل محل أي اتفاقيات أو تفاهمات أو ترتيبات سابقة بين الأطراف المعنية.
يبدأ الترخيص الذي توفره اتفاقية ترخيص CE بمجرد استلام صاحب الترخيص للبرمجيات والمواد المعنية ويستمر حتى هذا التوقيت الذي (1) يختار فيه صاحب الترخيص عدم الاستمرار في استخدام البرنامج أو المواد المعنية وينهي اتفاقية ترخيص CE الخاصة به أو (2) تقوم شركة HB-GIS بالإنهاء الفعلي لترخيص برنامج CE الخاص بصاحب الترخيص. وبناء على إنهاء اتفاقية ترخيص CE في أي من الحالتين، يقوم صاحب الترخيص بإعادة البرنامج أو المواد المعنية لشركة HB-GIS أو التاجر أو الموزع الذي تم من خلاله الحصول على البرنامج أو المواد المعنية.
يجب أن تتم أي تعديلات باتفاقية ترخيص CE كتابة وأن توقع من خلال ممثل الطرف المعتمد.

يتم تفسير وتنفيذ اتفاقية CE حسب أحكام الاتفاقية.
الأطراف التي تمثل الممثلين المعتمدين حسب التواريخ المذكورة يقومون بتنفيذ الملحق هـ.

2. (ائتلاف شركات دونغ آه DAC ) : هو الائتلاف المكون من شركة كوريا إكسبرس المحدودة (KEC) وشركة دونغ آه للإنشاءات الصناعية المحدودة (DACIC) ، بموجب اتفاقية الائتلاف المؤرخة في 20/5/1983ف و15/12/1989 ف، ما لم يدل السياق على خلافه.
ـ ( العقــــــــــــــــــــــــــــــــــود) : تتكون من وتشمل جميع الاتفاقيات المبرمة بين المالك وائتلاف شركات دونغ آه (DAC) وبين شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) وشركة النهر لتصنيع الأنابيب والإنشاء (ANC).
ـ (المشـــــــــــــــــــــــــــــــــــروع): يعرف بأنه كافة الأعمال وأو الخدمات المطلوبة لإتمام تنفيذ المرحلتين الأولى والثانية من مشروع النهر الصناعي العظيم ( أي العقود أرقام : 113، 116، 202، 204، 221، 222) والأعمال الــجـــاري تنفيذها طبقـــاً لأحكـــام الاتفاقية الموقعة في 6/9/2000ف.
ـ (خطة العمــــــــــــــــــــــــل): وهي المستند الذي يحمل عنوان (خطة العمل والإستراتيجية المتعلقة بالأعمال المعلقة للمرحلتين الأولى والثانية ) التي يستوجب تقديمها من قبل شركة كوريا أكسبرس قبل توقيع هذه الاتفاقية ويقوم المالك باعتمادها خلال مدة شهر (1) واحد ، وتشمل كافة البرامج والجداول الزمنية المرفقة أو المشار إليها في هذه الاتفاقية وستشكل جزءاً من هذه الاتفاقية.
ـ (شركة النهــر ANC) : تعني شركة النهر لتصنيع الأنابيب والإنشاءات المحدودة.
ـ ( المطالبة الاحتياطية) : تعني المطالبة المالية المقدمة في السابق من قبل المالك لدى المحكمة الكورية ضد شركتي دونغ آه للإنشاءات والصناعة المحدودة (DACIC) وشركة كوريا أكسبرس (KEC) والتي سيتم تعديلها بتخفيض قيمتها إلى مبلغ يعادل قيمة الأعمال المتبقية بالمشروع والتكاليف المتعلقة بها ، ويجب تخفيضها كل (4) أربعة أشهر بقيمة الأعمال المنفذة من قبل شركة كوريا أكسبرس (KEC) والمقبولة من قبل المالك ، وإلى حين إتمام تنفيذ المشروع يجب ألا يقوم المالك باتخاذ أي إجراء على الإطلاق فيما يتعلق بالمطالبة أو السعي لتنفيذ المطالبة الاحتياطية ، وعند إتمام تنفيذ المشروع يلتزم المالك بسحب المطالبة الاحتياطية ، وبالمثل يكون للمالك الحق في تنفيذ المطالبة الاحتياطية إذا ما أخفقت شركة كوريا أكسبرس في الوفاء بالتزاماتها بموجب العقود المبرمة وبموجب هذه الاتفاقية
وبموجب هذه الاتفاقية تؤكد شركة كوريا أكسبرس بأنه على الرغم من نتيجة إجراءات إعادة التنظيم لشركة كوريا أكسبرس فإن المطالبة الاحتياطية المعدلة تظل سارية المفعول إلى حين إتمام تنفيذ المشروع.
5. أتفق الأطراف على استلام شركة كوريا أكسبرس للمشروع من ائتلاف شركات دونغ آه (DAC) وشركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) إلى جانب التزاماتها ومسئولياتها التعاقدية تجاه المالك وإتمام تنفيذ جميع أعمال المشروع المعلقة ، بما في ذلك جميع الإصلاحات المطلوبة التي تمكن المنظومة من أداء عملها على أكمل وجه ، وذلك بموارد الائتلاف الموجودة داخل الجماهيرية وطبقاً لالتزاماته المنصوص عليها بالعقود المبرمة .
6. فيما يتعلق بالتمويل الذي سيستعمل لتحقيق الغرض من هذه الاتفاقية، فإن شركة كوريا أكسبرس (KEC) قد أدرجت جميع الأصول والمبالغ المالية والمصاريف والالتزامات المالية في المرفق رقم (1) لهذه الوثيقة ، وإن جميع الدفعات المالية المستحقة والأصول والمبالغ النقدية المبينة في المرفق رقم (1) ، ستشكل الأساس لتمويل المشروع (تمويل المشروع) وسوف تستخدم لتمويل إتمام تنفيذ جميع الأعمال وتسوية الالتزامات المالية لشركة كوريا أكسبرس وتكاليف التشغيل والإدارة الأخرى المتعلقة بالمشروع (البنود المعلقة).وإن أي تكاليف أخرى للمكتب الرئيسي لشركة كوريا إكسبرس تتعلق بإتمام تنفيذ المشروع يجب إثباتها من قبل شركة كوريا إكسبرس ودفع قيمتها بسعر التكلفة من الحسابات المشتركة . ويحتفظ جهاز تنفيذ وإدارة مشروع النهر الصناعي العظيم بحق ملكيــة المــواد والمعدات التي تم جردهـــا من قبل المالــك والائتلاف معاً وتم تقديمها من قبل خبراء المحكمة الليبية إلى المستشار /رئيس محكمة جنوب طرابلس الابتدائية بموجب رسالتهم المؤرخة في 5/8/2002ف إلا إن شركة كوريا أكسبرس تكون لها حرية استعمال المواد والمعدات المذكورة لتولي القيام بأي عمل يتعلق بمشروع النهر الصناعي العظيم، وتشتمل البنود المعلقة على سبيل المثال لا الحصر ما يلي:
تكاليف المواد وتكاليف قطع الغيار وتكاليف العمالة إلى جانب المصاريف المتعلقة بها والمبينة تفصيلاً في المرفق رقم (2).
إن الالتزامات المالية سالفة الذكر تشمل المطالبات القائمة والتي لم يتم البت فيها ، التي قدمت أو التي ستقدم للمحاكم الليبية ضد ائتلاف شركات دونغ آه و/أو شركة دونغ آه للإنشاءات والصناعة المحدودة من قبل الشركات الليبية و/أو المواطنين الليبيين .
وإن أي اتفاقية أو قرار محكمة لصالح هذه الشركات والجهات يتعلق بهذه المطالبات يجب دفع قيمته من المبلغ المخصص لتمويل المشروع .
أما المطالبات المقدمة من شركات أجنبية إلى المحكمة الكورية أو غيرها من المحاكم فلا تدفع من المبلغ المخصص لتمويل المشروع بل تتم تسويتها بشكل منفصل من قبل شركة كوريا أكسبرس(KEC) و/أو شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) بدون أية مساهمة من المالك.
7. يجب على شركتي كوريا أكسبرس (KEC) ودونغ آه للإنشاءات الصناعية (DACIC) أن تودعــا ـ من مصادر مستقلة عن المبلغ المخصص لتمويل المشروع ـ مبلغ وقدره (85,904,998.00) دولار أمريكي في حساب جهاز تنفيذ وإدارة مشروع النهر الصناعي العظيم لدى المصرف العربي الليبي الخارجي المعين من قبل المالك (حساب الضمانات المقدمة للجهاز) عوضاً عن ضمان حسن التنفيذ المنصوص عليه بالعقد رقم (202).
10. عند إتمام تنفيذ المشروع وبعد تسوية البنود المعلقة من قبل شركة كوريا إكسبرس، تتنازل شركة كوريا أكسبرس (KEC) للمالك عن حقها المتعلق بأية مبالغ مالية متبقية في الحسابات المشتركة أو في حساب الضمانات المقدمة للجهاز (ولا يشمل ذلك حساب الأمانات المصرفية المشروط (escrow account ) المشار إليه بالفقرة (8) أعلاه)، وذلك في تسوية كاملة ونهائية لكافة غرامات التأخير و (المطالبة الاحتياطية) من المالك ضد شركة كوريا أكسبرس (KEC) وشركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC).
وفي حالة إخفاق شركة كوريا أكسبرس (KEC) من إتمام تنفيذ أعمال المرحلة الثانية في الوقت المحدد حسبما تقتضيه خطة العمل ، تكون شركة كوريا أكسبرس (KEC) عندئذ ملزمة بدفع غرامة تأخير بحد أقصى (5%) من قيمــة الأعمال المتبقيـــة في المرحلة الثانية (335,205,000 ) دولار أمريكي تدفع من قبل شركة كوريا أكسبرس من خارج المبلغ المخصص لتمويل المشروع.
الأمور الفنية والتعاقدية:
11. بناء على خطة العمل ، يجب على شركة كوريا أكسبرس (KEC) أن تقدم بشكل فوري إلى المالك جدول زمني المستوى الرابع (الجدول الزمني ) لإتمام تنفيذ الأعمال و/أو الخدمات الخاصة بالعقد رقم (202) طبقاً لإلتزاماتها المنصوص عليها بالعقد.
ويجب على شركة كوريــا أكسبرس التعجيل بإتمام أعمال و/أو خدمات العقد رقم (202) بما يضمن إصدار شهـــادة قبول مبدئي طبقـــاً للجـــدول الزمني ، وقد أتفـــق الطرفـــان على أن أحكام الغرامـــة الماليـــة المنصوص عليها بالعقد قد تم تحديدها بإلتزام إجمالي قدره (80,000,000.00) دولار أمريكي فيما يتعلق بحالات التأخير السابقة لتوقيع هذه الإتفاقية وسيتم دفعها من المبلغ المخصص لتمويل المشروع.
في حالة تعذر معالجة أي نقص أو عيب رئيسي حسبما تقتضيه خطة العمل أو الجدول الزمني ، لأسباب خارجة عن إرادة شركة كوريا أكسبرس ) يشمل ذلك على سبيل المثال لا الحصر إيقاف تشغيل أي منظومة نقل أو أي جزء منها طبقاً لخطة العمل والجدول الزمني ( فإن ذلك يجب معالجته خلال مدة المسئولية عن العيوب والتي تبلغ سنة واحدة ، بموجب أحكام إتفاقية منفصلة تبرم بين الطرفين ويتم بموجبها الدفع لشركة كوريا أكسبرس من المبلغ المخصص لتمويل المشروع ، ويجب ألا تؤدي إلى تأخير إصدار شهادة القبول المبدئي.
يجب إجـــراء الفحــص النهائي وإختـــبار المنظومة طبقاً للمتطلبات المعدلة والإجراءات المتعلقة بها التي يتم الإتفاق عليها بين المالك وشركة كوريــا أكسبرس بناء على المستند الذي يحمل عنوان (الخطوط الإرشادية للاختبار الشامل للمنظومة) الذي تم تقديمه للنقاش من قبل استشاري المالك بموجب الرسالة رقم 202E5-S-100-00-LT-CT-3832 المؤرخة في 11/4/2004ف.
16. أتفق الإطراف على أن تقوم شركة كوريا أكسبرس بتقديم الدعم والمساندة الكاملة لشركة النهر لتصنيع الأنابيب والإنشاء في تنفيذ أعمالها ،وذلك من خلال تقديم الخدمات الفنية اللازمة وتوفير العمالة المتمرسة بهدف القيام في نهاية الأمر برفع مستوى الإنتاجية وتخفيض تكاليف تنفيذ أعمالها وتعهد المالك بالحصول على موافقة شركة النهر لتصنيع الأنابيب والإنشاء على اقتناء شركة كوريا أكسبرس لحصة شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) في شركة أعمال أنابيب المياه المحدودة (WPWL) وهي شركة قابضة تابعة لائتلاف شركات دونغ آه ، وذلك لغرض اقتناء شركة كوريا أكسبرس (KEC) لحصة بنسبة (25%) بشركة النهر لتصنيع الأنابيب والإنشاء بموجب شروط يتم الاتفاق عليها (وهي النسبة المئوية التي يعتزم الطرفان زيادتها بعد إجراء المزيد من المناقشات والاتفاق) .
17. أتفق الأطراف على التأكيد من أن جميع اتفاقيات شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) المبرمة مع شركة النهر لتصنيع الأنابيب والإنشاء بشأن الأعمال المكونة للمشروع سيتم التنازل عنها لشركة كوريا إكسبرس ، وأن شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) سيتم إخلاء طرفها من أي مسئولية منصوص عليها بتلك الاتفاقيات ، ويلتزم المالك بالحصول على موافقة شركة النهر لتصنيع الأنابيب والإنشاء لتحقيق ذلك.
21. أتفق الطرفان على أنه يجوز لشركة كوريا أكسبرس (KEC) استعمال اسم (ائتلاف شركات دونغ آه) كإسم رسمي لأعمالها المستقبلية في ليبيا ، لكي يتسنى الإبقاء على العقود القائمة حالياً ، إلا إن استخدام اسم ائتلاف شركات دونغ آه يجب ألا يؤثر على الوضع القانوني الحالي وإجراءات التصفية لشركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC).
22. يلتزم المالك بعدم تقديم مطالبة ضد ائتلاف شركات دونغ آه الكورية (DAC) و/ أو شركة دونغ أه للإنشاءات والصناعة المحدودة (DACIC)وفي هذا الشأن يجب على ائتلاف شركات دونغ أه (DAC) و/أو شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) عدم تقديم أي مطالبة ضد المالك سواء كان ذلك بشكل مباشر أو غير مباشر ، بشأن أي موضوع سابق لتاريخ توقيع هذه الاتفاقية ، وسوف لا يقوم ائتلاف شركات دونغ آه (DAC) و/ أو شركة دونغ آه للإنشاءات والصناعة المحدودة (DACIC) بملاحقة أي أمر يتعلق بالمشروع مستقبلاً.
| Translation - English
2. ‘Dong Ah Consortium’ (‘DAC’) means the consortium made up of Korea Express Co., Ltd. (‘KEC’) and Dong Ah Construction Industrial Co., Ltd. (‘DACIC’) under the Consortium Agreement dated 20th May 1983 and 15th December 1989, unless the context otherwise suggests.
‘The Contracts’ shall be defined and shall include all of the agreements entered into between the Owner and DAC and between DACIC and ANC.
‘The Project’ shall be defined as the totality of the Work and/or Services required for completion of Phases I and II of the Great Man-made River Project (i.e. Contracts 113, 116, 202, 204, 221 and 222) and the works under execution in accordance with the provisions of the Agreement signed on 6th September 2000.
The ‘Work Plan’ is the document titled ‘Work Plan & Strategy for Phase I & Phase II Outstanding Works’, which is to be submitted by KEC prior to the signature of this present Agreement and approved by the Owner within one (1) month, and includes all programmes and schedules attached or referred to therein. This will form part of this Agreement.
‘ANC’ means Al Nahr Co. Ltd. for Pipe Manufacturing and Construction.
‘Contingent Claim’ means the financial claim previously lodged by the Owner in the Korean Court against DACIC and KEC and to be amended by reducing the value of the Claim to an amount equal to the value of the remaining work on the Project and associated costs and shall be reduced every four months by the value of the work executed by KEC and accepted by the Owner. Until completion of the Project the Owner shall take no action whatsoever in respect of claiming or seeking to enforce the Contingent Claim. Upon completion of the Project the Owner shall withdraw the Contingent Claim. Equally, the Owner shall have the right to enforce the Contingent Claim if KEC fail to fulfill its obligations under the Contracts and this Agreement.
Herein KEC confirms that, notwithstanding the outcome of KEC reorganization proceedings, the amended Contingent Claim remains effective until the completion of the Project.
5. The Parties agree that KEC shall take-over the Project from DAC and DACIC, together with their contractual obligations and liabilities towards the Owner, and complete all the outstanding works of the Project, including all repairs required in order to enable proper performance of the System, with DAC’s existing resources in the Jamahiriya and in accordance with its obligations under the Contracts.
6. In respect of the funding to be used for achieving the purpose of this Agreement, KEC has tabled all assets, monies, expenditures and liabilities in Attachment No. 1 hereto. All the payments due, assets, and cash shown in Attachment No. 1 will form the basis of a project fund (the ‘Project Fund’), which shall be used to finance the completion of all works, settlement of KEC’s liabilities and other operation and management costs in relation to the Project (the ‘Outstanding Items’). Any of KEC’s head-office costs related to completion of the Project shall be substantiated by KEC and paid at cost from the Joint Accounts. GMRA shall retain title to the material and equipment jointly inventoried by the Owner and DAC and presented by the Libyan Court representatives to the Counsellor/President of the South Tripoli Primary Court under cover of their letter dated 5th August 2002, but KEC shall have free use of said material and equipment for undertaking any work associated with the Great Man-made River Project. The Outstanding Items shall include, but not be limited to, the following:
Material costs, spare part costs, manpower costs, with associated expenditure, which are detailed in Attachment No. 2.
The aforesaid liabilities include the outstanding and unresolved claims submitted and to be submitted to the Libyan Courts against DAC and/or DACIC by Libyan companies and/or the Libyan public. Any agreement or Court decision in favour of these companies and parties in connection with these claims shall be paid from the Project Fund. Claims submitted by foreign companies to the Korean Court and any other courts shall not be paid from the Project Fund but shall be settled separately by KEC and/or DACIC without any contribution from the Owner.
7. From sources independent of the Project Fund, KEC and DACIC shall deposit the sum of US$ 85,904,998.00 in a GMRA Libyan Arab Foreign Bank account designated by the Owner (‘the GMRA Guarantee Account’), in lieu of the Contract 202 Performance Bond.
10. At the completion of the Project and after settlement of the Outstanding Items by KEC, KEC shall transfer its entitlement to the Owner in respect of any sums of money remaining within the Joint Accounts or in the GMRA Guarantee Account (not including the escrow account referred to in Clause 8 hereinbefore) in full and final settlement of all delay penalties and Contingent Claim of the Owner against KEC and DACIC.
If KEC fail to complete the Phase II work in time as required by the Work Plan, then KEC shall be liable to pay a delay penalty, at the maximum of 5% of the remaining work value of Phase II (US $ 335,205,000), which shall be paid by KEC from outside of the Project Fund.
TECHNICAL AND CONTRACTUAL
11. Based upon the Work Plan, KEC shall promptly submit to the Owner a Level IV Schedule (‘the Schedule’) for the completion of the Contract 202 Work and/or Services in accordance with its obligations under the Contract.
KEC shall expedite completion of the Contract 202 Work and/or Services so as to ensure that a Provisional Acceptance Certificate (PAC) will be issued in accordance with the Schedule. The Owner and KEC agree that the Penalty provisions of the Contract have been set at a total liability of US$ 80,000,000.00 in respect of the delays prior to the signature of this Agreement, which would be paid from the Project Fund.
In the event that a major deficiency or defect cannot be remedied as required by the Work Plan or the Schedule, for reasons beyond the control of KEC (including but not limited to the shut-down of any conveyance system or part thereof in accordance with the Work Plan and the Schedule), it shall be remedied during the one-year Defects Liability Period, under the terms of a separate agreement between the Owner and KEC for which KEC shall be paid from the Project Fund, and which will not delay the issue of PAC.
Final inspection and system testing shall be performed in accordance with revised requirements and associated procedures to be agreed between the Owner and KEC based upon the document titled ‘Guidelines for Overall System Testing’, which has been provided for discussion by the Owner’s consultant engineer under cover of letter ref. 202E5-S-100-00-LT-CT-3832 dated 11th April 2004.
16. The Owner and KEC agree that KEC will fully support and assist ANC to implement its works by providing necessary technical services and experienced personnel with a view to ultimately enhancing productivity and reducing ANC’s costs in performing its works. The Owner undertakes to obtain ANC’s consent to KEC’s acquisition of DACIC’s interest in WPWL, a holding company of DAC, for the purpose of KEC’s acquisition of a 25% interest in ANC on terms to be agreed (which percentage interest the Owner and KEC intend to expand after further discussion and agreement).
17. The Parties agree to ensure that all DACIC’s agreements with ANC for the works forming the Project will be assigned to KEC and that DACIC will be released from any and all liability under those agreements. The Owner shall obtain the consent of ANC to this end.
21. The Parties agree that KEC may use ‘Dong Ah Consortium’ as its official name for future operations in Libya, in order to maintain existing Contracts; however, the use of Dong Ah Consortium should not affect the present legal position and liquidation proceedings of DACIC.
22. The Owner shall not claim against DAC and/or DACIC, and in this respect DAC and/or DACIC shall not make any claim against the Owner, directly or indirectly, in connection with any issue prior to the date of signature of this Agreement, and DAC and/or DACIC will not pursue any matter relating to the Project in the Future.
