MUTUAL CONFIDENTIALITY AGREEMENT
This Agreement made and entered into effective February, 27th 2007 between XXX, whose registered address is at [ ], (“Supplier”) for itself and its affiliated companies, and YYY, whose registered address is [ ] (“YYY”), for itself and its affiliated companies.
Whereas, both parties, for their mutual benefit, desire to disclose to the other, certain specifications, designs, plans, drawings, software, data, prototypes, or other business and/or technical information, which is Proprietary or Confidential to the disclosing party or its affiliated companies (“INFORMATION”) for the purposes of the evaluation of a potential relationship with YYY, to supply YYY with support and maintenance services (Services) for YYY’s customer (Customer), (the “PURPOSE”).
Now therefore, the parties agree as follows:
1. The receiving party shall hold such INFORMATION in confidence; shall use the INFORMATION only for the PURPOSE (and not for any competing of other commercial purpose); shall reproduce such INFORMATION only to the extent necessary for the above purpose; shall restrict disclosure of such INFORMATION to its employees with a need to know (and advise such employees of the obligations assumed herein); shall not disclose such INFORMATION to any third party without prior written approval of the other party including in the case of the Supplier, any disclosure to the Customer; and shall be entitled to disclose such INFORMATION as required by law (including by a court of competent jurisdiction or government body or regulatory authority), provided that the parties shall co-operate in good faith regarding the timing and the content of any such disclosure.
These restrictions on the use or disclosure of INFORMATION shall not apply to any INFORMATION:
a) which is independently developed by the receiving party or its affiliated companies; or
b) lawfully received free of restriction from another source having the right to so furnish such INFORMATION without restriction; or
c) after it has become generally available to the public without breach of this agreement by the receiving party or its affiliated companies; or
d) which at the time of disclosure to the receiving party was known to such party or its affiliated companies free of restriction as evidenced by documentation in such party’s possession; or
e) which the disclosing party agrees in writing is free of such restrictions.
2. INFORMATION shall be subject to the restrictions of paragraph 1, if it is in writing or other tangible form, only if clearly marked as proprietary when disclosed to the receiving party or, if not in tangible form, only if summarised in a writing so marked and delivered to the receiving party within thirty (30) days of such disclosure, in which case the INFORMATION contained in such summary (not information contained solely in the non-tangible disclosure) shall be subject to the restrictions herein. Each party hereto shall endeavour to keep to a minimum the amount of INFORMATION that is furnished to the other upon which restrictions are imposed.
Information, other than proprietary INFORMATION identified as provided above, shall not be subject to any restrictions by the transmitting party as to the receiving party’s disclosure or use thereof.
3. No licence to a party, under any trademark, patent, copyright, mask work protection right or any other intellectual property right, is either granted or implied by the conveying of INFORMATION to such party. None of the INFORMATION which may be disclosed or exchanged by the parties shall constitute any representation, warranty, assurance, guarantee or inducement by either party to the other of any kind, and in particular, with respect to the non-infringement of trademarks, patents, copyrights, mask work protection rights or any other intellectual property rights, or other rights of third persons or of either party.
4. Neither this Agreement nor the disclosure or receipt of INFORMATION shall constitute or imply any promise or intention to make any purchase of products or services by either party or its affiliated companies or any commitment by either party or its affiliated companies with respect to the present or future marketing of any product or service.
5. All INFORMATION shall remain the property of the transmitting party and shall be returned upon written request or upon the receiving party’s determination that it no longer has a need for such INFORMATION.
6. The parties acknowledge that any products, software, and technical information (including, but not limited to, services and training) provided under this agreement are subject to US exports law and regulations and any use or transfer of such products, software and technical information must be authorised under those regulations. Supplier agrees that it will not use, distribute, transfer, or transmit the products, software or technical information (even if incorporated into other products) in violation of US export regulations. If requested by YYY, Supplier also agrees to sign written assurances and other export-related documents as may be required for YYY to comply with US export regulations.
7. Each party agrees that all of its obligations undertaken herein as a receiving party shall survive and continue for a period not less than three (3) years after termination of this Agreement.
8. This Agreement constitutes the entire understanding between the parties hereto as to the INFORMATION and merges all prior discussions between them relating thereto.
9. No amendment or modification of this Agreement shall be valid or binding on the parties unless made in writing and signed on behalf of each of the parties by their respective duly authorised officers or representatives.
10. This Agreement shall be governed by the law of England and Wales and be subject to the jurisdiction of the Courts of England and Wales.
11. This Agreement shall terminate two (2) years from the effective date hereof.
12. This agreement is enforceable by the original parties to it and by their successors in title and permitted assignees. Any rights of any persons to enforce the terms of this agreement pursuant to the Contracts (Rights of Third Parties) Act 1999 are excluded.

La parte ricevente manterrà queste INFORMAZIONI riservate; le utilizzerà soltanto ai fini dell'OGGETTO indicato (e non in concorrenza con altre finalità commerciali); le riprodurrà soltanto nella misura necessaria a conseguire l'OGGETTO sopra menzionato; ne limiterà la divulgazione a quelli tra i propri dipendenti che dovranno esserne messi a conoscenza (e avvertirà questi ultimi degli obblighi assunti con il presente documento); non divulgherà queste INFORMAZIONI a terzi senza la preventiva autorizzazione scritta dell'altra parte, anche nel caso di un'eventuale divulgazione da parte del Fornitore al Cliente, e avrà il diritto di divulgarle ove ciò sia richiesto per legge (ed anche da un tribunale del foro competente o autorità governativa o autorità garante), a condizione che le parti collaborino in buona fede riguardo ai tempi e al contenuto di ogni eventuale divulgazione di questo tipo.
Queste limitazioni d’uso o di divulgazione non si applicano a quelle INFORMAZIONI:
a) che sono sviluppate in modo indipendente dalla parte ricevente o dalle sue affiliate; o
b) legittimamente ricevute prive di limitazioni da un’altra fonte che ha il diritto di fornirle in questo modo senza alcuna limitazione; o
c) dopo che sono diventate di pubblico dominio senza che la parte ricevente o le sue affiliate abbiano violato il presente accordo; o
d) che al momento della divulgazione erano note alla parte ricevente o alle sue affiliate come INFORMAZIONI prive di qualunque limitazione, come provato dalla documentazione in possesso di detta parte; o
e) che la parte divulgante accetta per iscritto di considerare prive di limitazioni.
2. Le INFORMAZIONI sono soggette alle limitazioni previste dal paragrafo 1, per quanto riguarda quelle messe per iscritto o in altra forma tangibile, soltanto se ne viene indicata in modo chiaro la proprietà esclusiva nel momento in cui vengono divulgate alla parte ricevente o, per quanto riguarda quelle che non sono in forma tangibile, soltanto se sintetizzate in un documento che indica detta proprietà e distribuite alla parte ricevente entro trenta (30) giorni dalla divulgazione, nel qual caso le INFORMAZIONI contenute nella predetta sintesi (non le informazioni contenute soltanto nella divulgazione non tangibile) sono soggette alle limitazioni previste nel presente documento. Ciascuna delle parti di questo documento farà tutto il possibile affinché la quantità di INFORMAZIONI sulla quale imporre delle limitazioni fornita all'altra parte sia ridotta al minimo.
Le informazioni, diverse dalle INFORMAZIONI esclusive identificate nel modo sopra indicato, non saranno soggette ad alcuna limitazione di divulgazione e d'uso imposta dalla parte trasmittente alla parte ricevente.
3. La trasmissione delle INFORMAZIONI ad una delle parti non concede né comporta per quest’ultima alcuna licenza d'uso di diritti di protezione di marchi commerciali, brevetti, diritti d’autore, diritti sulle topografie dei semiconduttori ("mask works") o di qualsiasi altro diritto di proprietà intellettuale. Nessuna delle INFORMAZIONI divulgate o scambiate dalle parti costituirà una dichiarazione, garanzia, assicurazione, promessa o incentivo di alcun genere di una qualsiasi di esse a beneficio dell'altra, con particolare riferimento alla mancata violazione dei diritti di protezione di marchi commerciali, brevetti, diritti d’autore, diritti sulle topografie dei semiconduttori ("mask works") o di qualsiasi altro diritto di proprietà intellettuale, o di altri diritti di terzi o di una qualsiasi delle parti.
4. Il presente Accordo e la divulgazione o la ricezione delle INFORMAZIONI non costituiranno una promessa né indicheranno l'intenzione di una qualsiasi delle parti o delle sue affiliate di effettuare acquisti dei prodotti o dei servizi, né costituiranno un impegno da parte di ciascuna di esse rispetto all’immissione in commercio, presente e futura, di un qualsiasi prodotto o servizio.
5. Tutte le INFORMAZIONI rimarranno proprietà esclusiva della parte trasmittente e dovranno essere restituite su richiesta scritta o per decisione della parte ricevente che non necessita più di dette INFORMAZIONI.
6. Le parti convengono che tutti i prodotti, i software e le informazioni tecniche (compresi a mero titolo esemplificativo ma non esaustivo i servizi e la formazione) forniti ai sensi del presente accordo sono soggetti alle leggi e ai regolamenti americani in materia di esportazioni e qualsiasi uso o trasferimento di detti prodotti, software e informazioni tecniche deve essere autorizzato in conformità ai suddetti regolamenti. Il Fornitore accetta di non usare, distribuire, trasferire o trasmettere i prodotti, i software o le informazioni tecniche (anche se incorporate in altri prodotti) in violazione della normativa americana in materia di esportazione. Ove YYY lo richieda, il Fornitore accetta altresì di sottoscrivere assicurazioni scritte ed altri documenti inerenti alle esportazioni, qualora ciò fosse necessario a YYY per osservare la normativa americana in materia di esportazioni.
7. Ciascuna delle parti conviene che tutti gli obblighi assunti con il presente documento in qualità di parte ricevente rimarranno in vigore per un periodo non inferiore a tre (3) anni a decorrere dalla risoluzione del presente Accordo.
8. Il presente Accordo costituisce l’intero accordo esistente tra le parti di questo documento con riferimento alle INFORMAZIONI e riunisce tutte le intese precedentemente in vigore al riguardo tra le parti stesse.
9. Nessuna modifica o variazione del presente Accordo sarà ritenuta valida o vincolante per le parti, salvo che non sia redatta per iscritto e firmata per conto di ciascuna di esse dai rispettivi funzionari o rappresentanti autorizzati.
10. Il presente Accordo è regolato dalla legge di Inghilterra e Galles ed è soggetto alla giurisdizione delle Corti di Inghilterra e Galles.
11. Questo Accordo avrà termine due (2) anni dopo la data di efficacia del presente documento.
12. Il presente Accordo può essere fatto valere dalle parti originarie e dai loro aventi causa o cessionari autorizzati. È escluso qualsivoglia diritto di terzi volto a far valere le condizioni di questo Accordo in conformità al Contracts (Rights of Third Parties) Act 1999.

Mandat du groupe de travail sur le nouveau tunnel de Tende
CIG 16 avril 2007
1. Préambule
Le nouveau tunnel de Tende a fait l’objet d’études qui ont conduit à l’élaboration d’un Progetto Definitivo et Avant-Projet Sommaire (PD/APS) sous le mandat du précédent groupe de travail de la commission intergouvernementale pour l’amélioration des liaisons franco-italiennes dans les Alpes du sud (CIG). Ce mandat avait été adopté en mars 2004. Ce PD/APS présente la comparaison des deux variantes identifiées lors des études précédentes et propose de retenir la “solution haute”.
Le 24 novembre 2006, lors du sommet franco-italien de Lucques, les gouvernements des deux pays ont signé un premier accord dit « accord de Lucques » relatif à l’amélioration des conditions de circulation dans le tunnel de Tende par la mise en place de dispositions communes de gestion et à l’engagement du processus de construction d’un nouveau tunnel. Cet accord, qui peut être mis en application sans procédure de ratification parlementaire, permet de ne pas ralentir le bon déroulement de l’opération. Les prestations nécessaires à l’engagement du processus de construction du nouveau tunnel sont réalisées sous le contrôle de la CIG par une entité juridique désignée par l’Italie.
Le 12 mars 2007, un deuxième accord a été signé par les deux pays relatif à la mise en place d’une gestion unifiée du tunnel de Tende et la construction d’un nouveau tunnel. Cet accord nécessite une ratification par le parlement de chaque Etat. Il se substituera à l’accord de Lucques à l’issue de ce processus parlementaire pour que le tunnel de Tende ne relève plus que d’un seul texte cohérent. Cet accord définit notamment un coût de référence pour la construction de l’ouvrage et la répartition de ce coût entre les deux Etats.
La CIG a aussi décidé le 16 avril 2007 de constituer le groupe de travail prévu par l’article 5 de l’accord de Lucques pour assister la CIG dans les missions relatives à l’engagement du processus de construction du tunnel neuf qui lui ont été attribuées par cet accord. Elle a mandaté les chefs de délégation de la CIG afin de le constituer par un échange de lettres.

1. Premessa
Gli studi effettuati sul nuovo tunnel di Tenda, su mandato del precedente gruppo di lavoro della commissione intergovernativa per il miglioramento dei collegamenti franco-italiani nelle Alpi del Sud (CIG), hanno portato all’elaborazione di un Progetto Definitivo e di “Progetto Preliminare di Massima” (PD/PPM). Il suddetto mandato era stato adottato nel marzo del 2004. Il progetto PD/PPM presenta il confronto tra le due varianti identificate al momento degli studi precedenti e propone di prendere in considerazione la “soluzione alta”.
Il 24 novembre 2006, in occasione del vertice franco-italiano di Lucca, i governi dei due Paesi hanno firmato un primo accordo, detto >, relativo al miglioramento delle condizioni di circolazione nel tunnel di Tenda attraverso l’attuazione di disposizioni comuni di gestione e l’avvio del processo di costruzione di un nuovo tunnel. Questo accordo, che può essere applicato senza alcuna procedura di ratifica parlamentare, permette di non rallentare la buona esecuzione dell’intervento. Le prestazioni necessarie ad avviare il processo di costruzione del nuovo tunnel sono eseguite sotto il controllo della CIG da una persona giuridica designata dall’Italia.
Il 12 marzo 2007, i due Paesi hanno firmato un secondo accordo relativo alla realizzazione di una gestione unificata del tunnel di Tenda e alla costruzione di un nuovo tunnel. Questo accordo deve essere ratificato dal Parlamento di entrambi gli Stati e, al termine dei rispettivi iter parlamentari, andrà a sostituire l’accordo di Lucca; e ciò per far sì che il tunnel di Tenda sia disciplinato da un unico testo coerente. Tale accordo in particolare stabilisce un costo di riferimento per la costruzione dell’opera e la ripartizione del medesimo tra i due Stati.
Il 16 aprile 2007 la CIG ha anche deciso di costituire il gruppo di lavoro previsto dall’articolo 5 dell’accordo di Lucca con lo scopo di fornirle assistenza nei compiti relativi all’avvio del processo di costruzione del nuovo tunnel che le sono stati assegnati dall’accordo medesimo. La CIG ha incaricato i suoi capi delegazione di costituire tale gruppo mediante uno scambio di lettere.
