CONTRATTO PARASOCIALE

Tra:

e
XYZ, società di diritto danese, con sede legale in [●], iscritta al [●], in persona del proprio legale rappresentante pro tempore, Sig. [●] (di seguito, per brevità, “XYZ”)
Premesso che:
(a) in data odierna, Cfp e XYZ hanno sottoscritto un contratto avente ad oggetto l’acquisizione da parte di XYZ del 50% (cinquanta per cento) delle partecipazioni al patrimonio sociale della società semplice M. ss con sede in 50132-FIRENZE, Via AAA, 33, codice fiscale [●] e numero registro delle imprese di FIRENZE 00000000, p. iva 000000…..(d’ora innanzi, per brevità, rispettivamente il “Contratto” e la “Società”);
(b) in forza del Contratto, a Cfp è attribuita l’amministrazione della società, mentre il socio XYZ nel rinunciare alla amministrazione ed ad agire in nome e per conto della società nei confronti dei terzi, ha espressamente optato per la limitazione della responsabilità ai soli beni conferiti, secondo quanto disposto dall’articolo 2267, Codice Civile;
(c) è intenzione delle parti regolare nell’ambito del presente patto i reciproci diritti e obblighi aventi ad oggetto l’amministrazione della società, nonché il compimento di specifici atti da parte di Cfp;
TUTTO CIO’ PREMESSO
SI CONVIENE E SI STIPULA QUANTO SEGUE
1. PREMESSE
Le premesse formano parte integrante e sostanziale del presente patto, con piena efficacia vincolante.
2. OGGETTO, OBBLIGHI E RISOLUZIONE DEL PRESENTE PATTO
2.1. Alle condizioni previste nel presente patto, Cfp assume l’obbligo di compiere a favore di XYZ, la quale accetta, i seguenti atti e/o attività:
(i) fermo restando quanto previsto dall’articolo 2214 Codice Civile, tenere la contabilità della Società in regime ordinario;
(ii) redigere il bilancio di esercizio in osservanza dei principi e dei criteri previsti dagli articoli da 2423 a 2428 del Codice Civile;
(iii) sottoporre, entro e non oltre il [●] al preventivo esame di XYZ il bilancio di esercizio previsto al precedente punto (ii) del presente articolo 2.1.;
(iv) con cadenza semestrale e quindi entro il [●] ed il [●] di ciascun esercizio sociale, predisporre a favore di XYZ le situazioni patrimoniali di riferimento aggiornate alle date del [●] e del [●], redatte secondo i medesimi principi e criteri previsti al precedente punto (ii) del presente articolo 2.1.;
(v) su specifica richiesta di XYZ, nominare un revisore contabile o una società di revisione contabile, incaricati di eseguire la revisione su base volontaria del bilancio di esercizio della Società, restando inteso che in tale evenienza i relativi costi verranno sopportati solo ed unicamente da XYZ;
(vi) non dare corso ad alcun investimento, né assumere in nome e per conto della Società alcun impegno, obbligo, onere o peso, il cui importo sia superiore a Euro 20.000,00 (ventimila/00), senza avere concordato preventivamente per iscritto la natura, la forma e il costo dell’operazione che Cfp intenda porre in essere e senza aver ottenuto il preventivo consenso scritto di XYZ;
(vii) amministrare la Società nel rispetto delle norme previste dalla legge, dal contratto sociale e dal presente patto, nonché fare in modo che la produzione vitivinicola e dell’olio d’oliva sia costantemente tutelata sia da un punto di vista qualitativo che quantitativo, mediante la messa in pratica delle migliori tecniche e metodologie adottate nel settore di produzione del vino e dell’olio d’oliva.
Le parti si danno reciprocamente atto che il mancato adempimento da parte di Cfp agli obblighi previsti ai precedenti punti [●] del presente articolo 2.1., costituisce valida causa di esclusione dello stesso, secondo quanto previsto all’articolo 2286 del Codice Civile.
2.2. Alle condizioni previste nel presente patto, XYZ si obbliga a:
(i) concedere a Cfp un diritto di prelazione nella distribuzione degli utili per un importo non superiore ad Euro 36.000,00 (trentaseimila/00) annui, autorizzandolo, sin da ora, a prelevare dalle casse sociali, compatibilmente con le disponibilità liquide presenti nelle stesse, una somma a titolo di acconto utili pari all’importo sopra indicato;
(ii) autorizzare, sin da ora, Cfp a utilizzare l’appartamento e l’autovettura in proprietà della Società;

(v) dare pronta risposta ad ogni richiesta di autorizzazione formulata da Cfp in ottemperanza a quanto previsto al precedente articolo 2.1.
2.3. In ogni caso, su semplice richiesta di tanti soci che rappresentano il 50% delle partecipazioni al patrimonio sociale, Cfp e XYZ s’impegnano a dare corso alla trasformazione della Società in Società a Responsabilità Limitata (S.r.l.).
Al verificarsi di tale ipotesi, Cfp si obbliga, sin da ora, a sottoscrivere con XYZ un nuovo patto parasociale di analogo tenore a quello oggetto del presente documento, contenente la regolamentazione dei reciproci obblighi e diritti nell’ambito di tale nuova forma societaria.

3. DURATA
Le parti si danno reciprocamente atto che il presente patto ha una durata di 5 (cinque) anni a decorrere dalla sua sottoscrizione e cesserà automaticamente di produrre i propri effetti, fatta salva la possibilità di concordare un suo eventuale rinnovo.
4. RISERVATEZZA
4.1. Ciascuna parte si obbliga a mantenere strettamente riservata e confidenziale l’esistenza ed il contenuto del presente patto.
4.2. Gli obblighi di confidenzialità e riservatezza di cui al precedente articolo 4.1. manterranno piena efficacia ed effetto per un periodo di 5 (cinque) anni successivi alla data di scadenza e/o risoluzione, per qualsiasi motivo, del presente patto.

MEMBERS’ AGREEMENT
of
ORDINARY PARTNERSHIP
By and between:
CFP, born in [●] SWITZERLAND, on February 20, 1968, resident in Livorno, Italy, Fiscal Code CFPXXXXXX, unmarried (hereinafter referred to as “Cfp”)
and
XYZ, a company incorporated and existing under the Danish law, with legal office in [●], registered with [●], represented for the purpose hereof by its own Legal Representative pro tempore, Mr. [●] (hereinafter referred to as “XYZ”)
Whereas:
(a) on today’s date, Cfp and XYZ have executed an agreement having as object the purchase by XYZ of 50% (fifty percent) of the participations in the corporate assets of the ordinary partnership M. ss with legal office in 50132-FLORENCE, Via AAA, 33, Italian tax code [●] and number of registration with the Registry of Companies of FLORENCE 00000000, VAT Code no. 000000 (hereinafter referred to as, respectively, the “Agreement” and the “Company”);
(b) pursuant to the Agreement, Cfp is entitled to the management of the Company, whilst the member XYZ having renounced to the management and to act in the name and on behalf of the company vis- à-vis third parties, has opted for the limitation of the liabilities to the asset contributions only, in accordance with the provisions set forth in article 2267, Italian Civil Code;
(c) the parties are willing to regulate, within this agreement, their respective rights and obligations concerning the management of the Company and the performance of specific acts by Cfp;
NOW THEREFORE IN CONSIDERATION OF THE FOREGOING, IT IS HEREBY AGREED AS FOLLOWS
1. RECITALS
The Recitals are an integral and essential part of this agreement, with full binding effects.
2. OBJECT, OBLIGATIONS AND TERMINATION OF THIS AGREEMENT
2.1. According to the conditions set forth in this agreement, Cfp does hereby undertake to perform, in favor of XYZ, which, in its turn, does hereby accept, the following actions and activities:
(i) notwithstanding the provisions of article 2214, of the Italian Civil Code, to keep the accounts of the Company in accordance with the ordinary régime;
(ii) to draw up the financial statements according to the provisions provided for by articles 2423 to 2428, Italian Civil Code;
(iii) to submit, by and not later than [●], to the previous exam of XYZ, the financial statements provided for in the previous point (ii) of this article 2.1.;
(iv) every six (6) months and consequently not later than [●] and [●] of every financial year, to provide XYZ with the statements of assets and liabilities as at [●] and [●], drew up pursuant to the same principles and criteria set forth in the previous point (ii) of this article 2.1.;
(v) to appoint, upon specific request by XYZ, an auditor or an auditing company, for the auditing, on a voluntary basis, of the financial statements of the Company, being it understood that the relative costs shall be paid by XYZ only and solely;
(vi) not to make any investment, or undertake any engagement, obligation, or commitment in the name and on behalf of the Company, whose amount is higher than Euro 20,000.00 (twenty thousand/00), without the previous written agreement as to the nature, form and the cost of the transaction that Cfp is willing to execute and without the prior written consent of XYZ;
(vii) to manage the Company in accordance with the provisions of law, the deed of partnership and this agreement, and to have the quality and the quantity of the wine and olive’s oil growing and producing always safeguarded by means of the best technics and methods adopted in the sector of wine and olive’s oil growing and producing .
The parties mutually agree that, failure by Cfp to fulfill the obligations set forth in the previous points [●] of this article 2.1., will be deemed as a just cause of exclusion of the same, pursuant to article 2286, Italian Civil Code.
2.2. Pursuant to the conditions set forth in this agreement, XYZ undertakes to:
(i) grant to Cfp a pre-emption right on the distribution of the profits for an amount not higher than Euro 36,000.00 (thirty-six thousand/00) per year and to authorize the same to withdraw from the Company’s fund, insofar as the available liquid cash, an amount as an advance on the profits’ distribution, equal to the amount above mentioned;
(ii) to authorize Cfp to use the apartment and the vehicle in the property of the Company;

(v) to promptly reply to any request of authorization submitted by Cfp in accordance with the provisions set forth in the previous article 2.1.
2.3. In any case, upon simple request from as many members representing the 50% (fifty percent) of the participations to the corporate assets, Cfp and XYZ undertake to transform the Company in a Limited Liability Company.
Upon occurrence of such circumstance, Cfp undertakes to execute with XYZ a new members’ agreement having provisions similar to the ones contained in this agreement, which shall rule their respective obligations and rights within such new corporate form.

3. DURATION
The parties mutually agree that this agreement shall have duration of 5 (five) years starting from its execution and will automatically stop to produce effects, save the possibility of agreeing a prospective renewal.
4. CONFIDENTIALITY
4.1. Each and all parties undertake not to disclose the existence and the contents of this agreement to third parties.
4.2. The obligations of confidentiality set forth in the previous article 4.1. shall survive expiry and/or termination, for any reason whatsoever, of this agreement for a period of 5 (five) years thereof.

Discovering the evolution of an iconic brand, debuting its new sunwear and eyewear collections, editor-in-chief of 20/20 USA, James J. Spina experiences an eyewear renaissance.
I’m in Florence for a glimpse into the past, present and future fashion whirl of Pucci which is debuting new sunwear and eyewear collections from Marchon. Quite frankly, there is no way to sidestep the aura of Florentine tradition, history and heritage pushing me toward delicious Italian overload.
Florence is unique in its spiritual role as the junction of medieval pageantry and the rejuvenating creative forces of the Renaissance. It might be the only place on earth where both these historical plateaus synthesized that which is ancient and that which is modern. And Emilio Pucci grasped that dichotomy throughout his whole life as an aristocrat, a fashion designer, an artist and an ambassador of freedom. The man who signed his work simply “Emilio” delivered the signature of his precious Florence and grand heritage well. Every detail – every swirl of colour, and quite nearly every speck of sky, river and cobblestone is reflected and venerated in the new Pucci frames.
Giancarlo Agnoli, Marchon Italia’s managing director, explains the research behind the new collection: “The challenge for the whole team with Pucci was actually a positive reversal from the usual hunt for inspiration. Wait until you see the Pucci archive. Have them show you the room where Matthew [Williamson, Pucci’s creative director] colour strategizes with authentic Pucci colour swatches outnumbering the colours in a giant Pantone book. Even the shapes on the scarves and the fabric as it fits a body played right into our eyewear design work.”
The eyewear echoes that. Sun style EP 601S swirls a dark to light blue zyl pattern that apes the Mediterranean sea. Or pick the inner temple coloration of style EP 606S where the power of Pucci to implode contrasts of yellow, brown, white and black remains unrivalled in clothing, accessories and now eyewear.
Pucci’s daughter Laudomia is now the company’s “image director.”
“We’ve dabbled with sunglasses for many years as a perfect Pucci accessory, but this time the details are perfect,” she explains. “It took teamwork, research and a tremendous dose of freedom, but we got there relatively easily because very early in the process Al [Berg] and the Marchon talent understood that it wasn’t just about our archives and our Italian heritage. My father was a man who always looked to the future for his direction and to the world for his influence.”
Pointing to the scallop cut on the front face of style EP609S, Laudomia notes her father would love that detail. She says, “The lightness would delight him. He devoted himself to every aspect of his business. He loved pleasing his customers. And he knew that the pleasure came from everything, from the colour to the technology.”

E’ probabilmente il solo posto al mondo testimone del palcoscenico storico di entrambe le epoche, dove si può sintetizzare ciò che è antico e ciò che è moderno.Ed Emilio Pucci colse il fascino di questa dualità in tutto il corso della sua vita di aristocratico ma anche di stilista di moda, d’artista e d’ambasciatore di libertà. L’uomo che firmò le sue creazioni semplicemente con il nome “Emilio”, seppe abilmente onorare l’immagine della sua preziosa Firenze e del suo immenso patrimonio storico. Ogni dettaglio, ogni sfumatura di colore e quasi ogni screziatura del colore del cielo, del fiume o del ciottolato è riflessa e richiamata quasi con venerazione nelle nuove montature per occhiali della Maison. La nuova linea di occhiali richiama tutti questi particolari. Prendete per esempio l’occhiale da sole EP 601S; il modello in acetato, ci riporta con le sue sfumature cromatiche dal blu intenso all’azzurro trasparente, i colori del Mediterraneo. Oppure osservate la cromia interna delle aste del modello EP 606S dove, il talento della Maison nel saper abilmente “implodere” le nuances contrastanti dei gialli, dei marroni, del bianco e nero, rimane imbattibile nei capi d’abbigliamento, negli accessori e adesso anche negli occhiali.
Laudonia, la figlia di Pucci, è l’attuale “responsabile d’immagine” della Maison.
“Per molti anni ci siamo immersi nel settore degli occhiali da sole, quasi solo divertendoci a giocare con quest’accessorio perfetto per l’universo fashion di Pucci, ma questa volta abbiamo raggiunto una vera perfezione in tutti i dettagli”, spiega Laudonia. “C’è voluto un buon lavoro di squadra, una lunga ricerca e un incredibile coraggio di esprimerci in piena libertà. Siamo riusciti in modo relativamente semplice poiché già ai primi stadi di elaborazione del progetto, Al (Berg) grazie anche al talento di Marchon, ha capito che non si trattava semplicemente di ricorrere ai nostri archivi storici e al nostro patrimonio culturale italiano. Mio padre fu un uomo sempre rivolto al futuro nelle sue scelte pur trovando l’ispirazione innovativa nel mondo reale che lo circondava”. Indicandoci il taglio dalla rifinitura arrotondata, quasi uno smerlo di tessuto, sul frontale del modello EP609S, Laudonia ci fa rilevare che quel dettaglio sarebbe piaciuto a suo padre. E prosegue spiegando: “Questa leggerezza di linea sarebbe stata una vera gioia per lui”. “Dedicò se stesso completamente al suo lavoro seguendone ogni dettaglio. My general rate is based on source text (characters, spaces and punctuation) + 10/15% standard length difference from English to Italian (when necessary).
