Given the pivotal corporate governance role that outside directors are being expected to play, one is led to wonder what will motivate the individuals serving in this capacity to carry out their duties in an effective manner.
Outside directors on company boards rarely receive meaningful performance-oriented remuneration akin to that awarded to top management (Black et al., 2004: 46-47). So what provides outside directors with incentives to work hard and pay attention?
One possibility is that concerns about being held personally liable push outside directors to “do the right thing”.
Over the past few years, an increasingly common refrain has been that directors, operating in a hostile legal climate, face a significant risk of personal liability.
The reality is otherwise. As this paper will explain, individuals serving as outside directors of a publicly quoted company face only a tiny risk of incurring “actual liability”, in the sense they will have to pay damages, financial penalties or legal fees out of their own pocket.
Moreover, on this point there is “functional convergence” across borders. The legal terrain does differ. Ultimately, though, for outside directors the bottom line is the same.
Is the current legal position a cause for concern?
It is beyond the scope of this paper to evaluate this intriguing and important question. Nevertheless, the concluding section will outline policy-oriented issues which merit consideration in light of the findings set out in the main text.
To simplify the analysis the paper does not take into account regulation governing self-serving conduct. For instance, insider dealing laws are out-of-bounds.
Setting to one side legal rules designed to deter and punish fraudulent and dishonest conduct is legitimate for present purposes because outside directors of public companies are unlikely to have sufficient influence over the conduct of company business to orchestrate self-serving transactions.
Moreover, when concerns are expressed about how non-executives might do their jobs better, these most often relate to diligence and competence rather than honesty.
Since the paper focuses on laws addressed to attentiveness and the exercise of proper judgment rather than self-dealing, for the sake of convenience the relevant legal rules will be labeled collectively as “vigilance duties”. | Translation - Czech
Vzhledem k ústřední roli, která se očekává od externích ředitelů v rámci správy společností se musíme pozastavit nad otázkou, co by mělo osoby v tomto postavení motivovat k efektivnímu výkonu jejich povinností.
Externí ředitelé zasedající v orgánech společností zřídkakdy pobírají výkonnostní odměny srovnatelné s odměnami vrcholového managementu (Black et al., 2004: 46-47). Co tedy motivuje externí ředitele k tvrdé práci a důsledné pozornosti?
Jednou z motivací ke správnému rozhodování externích ředitelů mohou být obavy z nesení osobní odpovědnosti.
V průběhu uplynulých několika let se čím dál častěji skloňovanou stávala skutečnost, že se externí ředitelé pracující v nepříznivém právním prostředí vystavují značnému riziku osobní odpovědnosti.
Realita je ovšem jiná – tato práce se pokusí vysvětlit, že jednotlivcům působícím jako externí ředitelé ve veřejně obchodovatelných společnostech hrozí jen nepatrné riziko, že by museli „skutečnou odpovědnost“, tedy úhradu náhrad škody, peněžitá penále či poplatky za právní služby, vyplácet z vlastní kapsy.
Navíc v této otázce probíhá přeshraniční „funkční konvergence“. Ačkoliv je právní prostředí různorodé, v důsledku jsou dopady na externí ředitele všude stejné.
Jsou obavy ze současné právní situace namístě?
Vyhodnocení této zajímavé a významné otázky přesahuje rozsah této práce – přesto se bude na závěr alespoň v nástinu zabývat otázkami týkajícími se státní politiky, které ve světle obsahu hlavní stati zasluhují jisté posouzení.
Za účelem zjednodušení analýzy se tato práce nezabývá právní úpravou jednání ředitelů ve střetu zájmů (tedy jednání ve vlastní prospěch). Například se tedy vyhne zákonům týkajícím se zneužívání interních informací při obchodování na burzách.
Pro účely této práce není na škodu odsunout stranou veškerá pravidla určená k odrazování od podvodných či nepoctivých typů jednání a jejich trestání, protože externí ředitelé mají zpravidla příliš malý vliv na obchodní vedení společnosti na to, aby se ocitali ve střetu zájmů.
Navíc názory, že by externí ředitelé mohli svou práci dělat lépe, zpravidla narážejí spíše na důslednost odváděné práce a kvalifikaci ředitelů, než na jejich poctivost.
Vzhledem k tomu, že se tato práce spíše soustředí na právní předpisy upravující pozornost a soudnost ředitelů než na střet zájmů, budou tato pravidla z praktických důvodů souhrnně označována jako „pravidla povinné péče“. |
