ICC Model International Mergers And Acquisitions Contract (I - Shares Purchase Agreement).
Article 1 – Definitions
1.1 In this Agreement, unless the context otherwise requires:
"Accounts" means the financial statements of the Company with reference to the ________ financial years.
"Accounts Date" means the date of reference of the last approved financial statements.
“Agreement” means this agreement and its annexes and schedules.
"Claim" and "Claim notice" have the meaning indicated in Article 10.1.
"Closing" means completion of the sale and purchase of the Shares by the performance by the parties of their respective obligations under Article 6.
"Closing Date" means the date on which the Closing takes place in accordance with Article 6.1.
"Company" ("Target Company") has the meaning set out in Annex 1.
"Day" means a calendar day.
“Encumbrances” shall mean any claims, interest, option or pre-emption right or other rights of any parties, charges, pledges, mortgages, special or general privileges, security, actions, liens, or encumbrances and the like of whatever nature;
"Environmental Law" means all laws, regulations, directives, codes of practice, circulars, guidance notes and the like concerning the protection of human health or the environment or the conditions of the workplace or the generation, transportation, storage, treatment or disposal of dangerous substances;
"Environmental License" means any permit, licence, authorization, consent or other approval required under or in relation to any Environmental Law;
“Event” has the meaning defined in Article 10.1;
"Intellectual Property Rights" mean any trademarks, service marks, trade and business names (including internet domain names), rights in designs, patents, copyrights, moral rights and rights in know-how, software and database rights and other intellectual property rights, as related to the Company, in each case whether registered or unregistered and including applications for the grant of any of the foregoing and all rights or forms of protection having equivalent or similar effects to any of the foregoing which may subsist anywhere in the world.

Contrato Modelo de la CCI sobre Fusiones y Adquisiciones Internacionales (I – Contrato de Compraventa de Acciones)
Artículo 1 - Definiciones
1.1 En este Contrato, a menos que el contexto requiera algo distinto:
"Cuentas" significa los estados financieros de la Compañía en relación a los ejercicios fiscales de ________ .
"Fecha de las Cuentas" significa la fecha de referencia de los últimos estados financieros aprobados.
"Contrato" significa este Contrato y sus anexos y apéndices.
"Reclamación" y "notificación de reclamación" tienen el significado indicado en el Artículo 10.1.
"Consumación de la operación" significa la consumación de la compraventa de las Acciones mediante el cumplimiento por las partes de sus obligaciones respectivas con arreglo al Artículo 6.
"Fecha de Consumación de la operación" significa la fecha en la que tiene lugar la consumación de la compraventa de las Acciones con arreglo al Artículo 6.1.

"Gravámenes" significará cualesquiera reclamaciones, derecho, opción o derecho preferente u otros derechos de cualesquiera partes, cargas, prendas, hipotecas, privilegios especiales o generales, garantía, acciones, derechos de retención, o gravámenes y similares, de cualquier naturaleza;
"Derecho Medioambiental" significa todas las leyes, normativas, directivas, códigos de ejercicio, circulares, notas orientativas y similares con respecto a la protección de la salud humana o del medioambiente o las condiciones del puesto de trabajo, o a la producción, transporte, almacenaje, tratamiento o eliminación de sustancias peligrosas;
"Licencia Medioambiental" significa cualquier permiso, licencia, autorización, consentimiento u otra aprobación exigida con arreglo o en relación a cualquier Derecho Medioambiental;
"Acontecimiento" tiene el significado definido en el Artículo 10.1;
"Derechos de Propiedad Intelectual" significan cualesquiera marcas, marcas de servicio, nombres comerciales y razones sociales (incluyendo nombres de dominio de internet), derechos sobre diseños, patentes, derechos de autor, derechos morales y derechos sobre “know-how”, “software” y derechos sobre bases de datos y demás derechos de propiedad intelectual relacionados con la Compañía, en todos los casos tanto inscritos como no inscritos, incluyendo las solicitudes de concesión de cualquiera de los elementos anteriores, y todos los derechos o formas de protección que tengan efectos equivalentes o similares a cualquiera de los anteriores que puedan existir en cualquier lugar en el mundo.

Nachstehend eine kurze Vorstellung meiner Person, hoffentlich nicht zu langweilig!
Nach erfolgreichem Abschluss des Jurastudiums (Barcelona 1974-1981) begann ich als Referendar bei einer nahmhaften Kanzlei mit Sitz in Barcelona (seinerzeit "Bufete Bertran y Musitu", später "Mullerat", www.mullerat.com). Hier erwarb ich über die Jahre umfassende Erfahrung in der Übersetzung von Texten aus dem Rechtsbereich. Ebenso bestand ich parallel zu dieser Tätigkeit die Prüfungen zum vereidigten Übersetzer für Französisch & Englisch (1985, 1986) und Katalanisch (1984). Während meiner über zwanzigjährigen Tätigkeit als angestellter Übersetzer dieser Kanzlei habe ich hauptsächlich Texte aus dem Rechtsbereich in den Sprachenkombinationen Englisch und Spanisch (in beide Richtungen), sowie aus dem Französischen und Deutschen ins Spanische und, selten, ins Katalanische übersetzt.
Besonders interessiere mich die deutsche Sprache mit ihren schweizerischen und österreichischen Sprachvarianten, ebenso wie die Landgebiete.
Interesse: Übersetzungen (aus dem Rechtsbereich), aber auch an einem Meinungsaustausch und Kontakt zu Kollegen mit ähnlichen Neigungen. Weitere Interessen: Gebärdensprache (abgeschlossener Kurs in katalanischer Gebärdensprache).

Below is a short presentation, hopefully not too boring !. After graduating at Law School (Barcelona 1974-1981), I joined a respected Barcelona-based law firm (formerly "Bufete Bertran y Musitu", subsequently "Mullerat", www.mullerat.com) as a trainee attorney-at law and gained thereafter comprehensive experience in legal translation over the years, qualifying as a certified translator (French & English, 1985, 1986, Catalan 1984) and worked over twenty years as in-house legal translator in said firm, dealing primarily with legal English/Spanish and viceversa, as well as with legal French and German/Spanish and, to a lesser extent, Catalan language pairs.
The German language is particularly appealing to me, as well as the Swiss and Austrian language varieties and the countryside.
Interest in (legal) translation as well as in exchanging views and getting to know other colleagues sharing similar interests. Other non-professional-related interests: sign language (Catalan sign language courses completed).
