Am pus întrebarea şi pe Proz, dar la sugestia unui administrator de site, deschid acest subiect şi pe forum. Poate aici e un spaţiu mai propice pentru a dezbate subiectul.

Ce mă interesează pe mine este să-mi pun ordine în nişte noţiuni care nu-mi sunt prea clare, şi anume care este diferenţa dintre "guarantee", "security", "collateral", "surety" şi "pledge"(diferenţa de sens şi termenii corespondeţi în română).

Definiţii:
- "guarantee"/"guaranty"
1. General: Written undertaking that something is of a specified benefit, content, or quality, or that it will provide satisfaction or will perform a duty or obligation in a specified manner.

2. Legal: Three-party contingent liability agreement under which a third-party (the guarantor) agrees to be directly or collaterally responsible for the obligation (contract fulfillment, loan) of a first-party (the principal) to a second-party (bank, client) in case the first-party defaults or fails to fulfill its part of a deal. In effect, signing a guaranty as a guarantor is like signing a blank check. Unlike a warranty, a guaranty may refer to things as well as persons and, to be legally enforceable, must be in writing. Also called bond.)

- "security"
(here) Asset(s) pledged to guaranty the repayment of a loan, satisfaction of an obligation, or in compliance of an agreement. Security gives a lender or obligee a legal right of access to the pledged asset(s) and to take their possession and title in case of default for a foreclosure sale.

- "surety"
Formal pledge lodged, or sum of money deposited, as a guaranty against a damage or loss, non-fulfillment of an obligation, or unfaithfulness (such as of an accused on bail).

- "collateral"
Specific asset (such as land or building) pledged as a secondary (and subordinate) security by a borrower or guarantor. The principal security is usually the borrower's personal guaranty, or the cash flow of a business. Except for highly creditworthy customers (who can get loans against only their signatures) lenders always demand a collateral if the primary security is not considered to be reliable or sufficient enough to recover the loan in case of a default...)

- "pledge"
Transfer or assignment of assets to secure payment of an obligation. Also called a security interest . The borrower assigns an interest in the property to the lender, which becomes a lien on the collateral. If the borrower offers stocks, bonds, or other securities as collateral, the lender generally takes possession or is assigned ownership of the collateral until the loan is paid.

Şi atunci ce corespondenţi au în română, mai ales când apar toţi în acelaşi document?
Guarantee, generic, garanţie?
Security - garanţie reală?
Surety - garanţie personală?
Collateral rămâne colateral în română? Există depozit colateral, dar dacă nu e vorba de un cont?
Pledge ştiu că e gaj sau garanţie reală mobiliară.

Mulţumesc pentru explicaţii, confirmări. infirmări. argumente, referinţe etc.

Legal: Garantie personala
Definitie:
Tip de garantie speciala a executarii obligatiilor. Angajamentul pe care o alta persoana decat debitorul si-l asuma fata de creditor de a executa obligatia in ipoteza in care debitorul principal nu o va executa el insusi. Cea mai importanta garantie personala este fidejusiunea sau cautiunea. Pe langa aceasta, in mod indirect, au functii de garantii personale si solidaritatea si indivizibilitatea


- "security" Ipoteca
Definitie:
Garantie imobiliara care consta intr-un drept real, accesoriu al creditorului, constituit asupra bunurilor imobile apartinand debitorului sau ale altei persoane, care are obligatia unei plati la scadenta. Ipoteca nu il deposedeaza pe debitor de bunul ipotecat, insa confera creditorului ipotecar, pentru creditorul neplatit la scadenta, dreptul de urmarire a imobilului in mainile oricui s-ar afla, dreptul de a cere scoaterea imobilului in vanzare silita si dreptul de a fi platit cu preferinta din pretul astfel realizat. Ipoteca este asadar o garantie reala imobiliara. Ea este un drept real asupra imobilelor afectate de plata obligatiilor. Codul civil roman o reglementeaza in art.1746-1814. Ipoteca poate fi, din punctul de vedere al sursei sale juridice, conventionala sau legala.


- "surety" Cautiune
Definitie:
In dreptul civil, acelasi lucru cu Fidejusiune. In dreptul procesual penal (art.160^5 Cod Procedura Penala) suma de bani depusa de inculpat prin care se garanteaza respectarea de catre acesta a obligatiilor ce-i revin pe timpul liberarii provizorii. Cuantumul cautiunii este prevazut de lege si este la dispozitia organului de urmarire penala sau a instantei de judecata care a dispus liberarea provizorie pe cautiune. Ea se restituie in conditiile legii.

- "collateral"
Cred ca se incadreaza tot la ipoteca.

- "pledge"
Gaj
Definitie:
Orice bun mobil, depus de catre debitor la dispozitia creditorului, prin care se garanteaza plata la scadenta a imprumutului primit, a unei obligatii asumate. Aceasta este situatia gajului cu deposedare. Poate insa exista si situatia gajului fara deposedare, cand bunurile gajate raman in posesia debitorului. In general orice obligatie poate fi garantata prin constituirea unui gaj. Vezi si Contract de gaj.

Gaj consemnat Bunuri mobiliare si titluri financiare consemnate in depozit pentru garantarea rambursarii unui imprumut.  

Gaj fara deposedare Varietate de gaj care se distinge prin aceea ca remiterea materiala a lucrului de catre debitor creditorului nu este de esenta operatiunii de garantare a executarii obligatiei, debitorului revenindu-i indatorirea de a pastra acel lucru la d (...)  

Gaj general al creditorilor Dreptul creditorului de a urmari oricare dintre bunurile sau valorile active ce se afla in patrimoniul debitorului, in scopul realizarii creantei sale devenita exigibila, fara a-l putea opri sa le instraineze inaintea inceperii urmaririi. N (...)
