An employee owes a duty to the employer to act in the interest of the employer (and no other) when carrying out the duties of an employer. A Conflict of Interest exists when the employee has some personal kinship, friendship or financial interest in the transaction that may divide the employee's interests and put his duty to his employer in jeopardy.

Non riesco a comprendere l'espressione "his duty to his employer", anche nella prima frase "duties of an employer" mi risulta difficile da capire.

il dipendente

"when carrying out the duties of an employer" = nell'ambito dei compiti/incarichi a lui assegnati ("dal datore di lavoro" mi pare superfluo, con "inerenti al proprio lavoro" si ripete "lavoro...)
