.......in relation to a Partner, the amount committed by it to the Partnership (and accepted by the General Partner in accordance with the provisions of this Agreement), whether or not such amount has been advanced in whole or in part and whether or not it has been repaid to the Partner in whole or in part, with such amount comprising of a Capital Contribution of 0.001% of such committed amount and a Loan Commitment of 99.999% of such committed amount . Notwithstanding the fact that 99.999% of the Commitment is characterized as a loan, it is the intent of the parties hereto and each such party hereby agrees that Instalment payments made to repay any Subscription Facility shall be considered equity contributions in all respects and shall not in any way be deemed to be a financial accommodation under Section 365(c) of the U.S. Bankruptcy Code or any comparable section of any other applicable insolvency law
