Obviously, I wasn't suggesting "fraud" as a translation! However, ultimately, the reason for concern with conflicts of interest is that they might provide a motive/incentive for corruption and fraud. Otherwise, they would simply be a matter of individual psychology.

Oui, ces longues phrases sont un cauchemar. Voici ce que je te suggère, que tu pourras arranger à ta guise: "Un administrateur peut passer des contrats ou des arrangements avec la Société, avoir un intérêt dans les contrats ou arrangements qu'elle conclut, traiter avec la Société ou être intéressé dans des opérations de toute nature avec celle-ci et il ne saurait, de ce fait, être démis de ses fonctions. De tels contrats, arrangements ou opérations n'ont aucunement à être annulés et aucun administrateur partie à tels contrats ou opérations ou y étant intéressé n'est tenu de rendre compte à la Société de quelque profit en découlant au [seul] motif qu’il est un administrateur de la Société. "

Ces clauses sont courantes dans les statuts/règlements d'une société. Tu devrais pouvoir trouver des modèles en faisant une recherche sur des mots clés. Par ex.:

A director could be interested in a contract or arrangement with the Company or dealings with the Company because of family connections. So, if a director of Company A has a spouse or close relative who is a director of, owns or has a major shareholding in Company B, then if Company A enters into a contract with Company B, the director would be "interested" because of that family connection. They'd be even more interested if they personally had a major shareholding in Company B, or if they were also a director of that company.

Another example: if that director of Company A is also a local councillor for YNotville and a member of its Planning Committee and Company A is bidding to build a major development for YNotville, then the director would be an interested party.

It's all about fraud and opportunities or motivation for fraud.

Vous pourriez peut-être essayer de tourner ça autrement, du genre "peut établir des accords" ou "peut être l'objet d'accords divers établis dans le cadre de..." C'est juste une piste que je vous propose. Franchement, "interested in" utilisé comme ça en anglais me semble un peu bizarre. On dirait plutôt, "have a vested interest in", ou bien "be a party to other contracts/agreements" etc.

Oui c'est dommage et d'ailleurs c'est assez difficile de rédiger le français dans un style acceptable, car les phrases sont si longues etc...

C'est malheureusement "avoir/détenir un intérêt/une participation dans" ou "être intéressé dans", il me semble. Comme dans la clause de prospectus qui porte sur les intéressés dans l'émission...
