Wkłady wniesione przez wspólników na pokrycie kapitału zakładowego mają służyć finansowaniu działalności spółki. W toku działalności spółki wkłady wniesione na kapitał zakładowy mogą podlegać surogacji, co oznacza, że mogą być one zastępowane innymi składnikami majątkowymi.
