"Elke eigendomsoverdracht, overdracht van rechten, of enige overgang of overdracht van rechten uit hoofde van deze overeenkomst geschiedt onder de opschortende voorwaarde dat alle bedragen, **die de opdrachtgever uit hoofde van deze overeenkomst danwel uit hoofde van enig tekortschieten in de nakoming van deze overeenkomst, volledig aan de productiemaatschappij zijn voldaan.**"

This subordinate clause is causing me grief. Shouldn't it end with "heeft voldaan", i.e. did the author make a last-second modification and forget to remove part of the passive from the active or vice versa? Is something missing? Or am I completely overlooking something here? Quick assistance would be appreciated. Cheers, Rob

restrictive relative clause


Explanation:
The comma after 'bedragen' should be removed, since this is clearly meant to be a restrictive relative clause. Once that is done, I believe the sentence runs correctly. 'Zijn voldaan' is the habitual state of affairs.
