Dutch term or phrase: who is 'haar' in this sentence?
Bestuur

1. Het bestuur van de vennootschap is opgedragen aan de directie, bestaande uit een of meer (algemeen) directeuren.
2. De algemene vergadering is bevoegd door haar, in haar daartoe strekkend besluit, duidelijk te omschrijven besluiten van de directie aan haar voorafgaande goedkeuring to onderwerpen.

I don't know who the 'haar' is referring to. Is it the vegadering or the directie?
Lucy Spring
the shareholders in general meeting
Explanation:
is what "haar" refers to here.

Your phrase could be rendered as follows: 'Pursuant to a resolution which the shareholders in general meeting passed to this end, this meeting is entitled [has the power] to make management board decisions clearly defined in this resolution subject to its prior approval. Or words to that effect :-)

Please note that "de algemene vergadering" is not the AGM. It simply refers to any meeting of shareholders.
