Hello,

I am translating an Operation agreement of a private limited company.

Under section Regulatory and financial allocations, there comes this point:

To the extent Losses allocated to any Member would cause that Member to have a deficit in his or her Capital Account at the end of any taxable year, those Losses are not to be allocated to that Member but shall be allocated instead on a pro rata basis to those Members to whom such an allocation would not cause a deficit in their Capital Account.

Si je comprends bien, si des pertes qui avaient été allouées sur le compte d'un associé font que son compte de capital est négatif, ces pertes doivent être allouées sur l'ensemble des comptes de capital des associés dont le solde est positif. Est-ce correct ?

Le terme allouer est-il correct? Peut-ono également parler de 'dotation/doter' ?

Explanation:
Certainly in other fields it might be 'affecter' or as I'm suggesting 'imputer' — but I am no financial expert to know if that applies here!
I don't think you can use 'doter', because surely that has an undelying meaning of 'give / provide with something', which would seem curious to me with something negative, as here?

neutral  Daryo: expecting to understand the fine points of accounting from a general purpose dictionary is, to put it mildly, quite optimistic ... Even a specialised glossary is of little value without some "prior knowledge" of the subject matter!
