Asker: This was part of a purchase agreement, where the "deferred consideration shares" were used as consideration to pay the seller. I think "zurückgehaltene Anteilsscheine" is somewhat ok, but "zurückgehaltene Vorzugsaktien" would probably be translated as "deferred preferred shares". I ended up translating the term as "zurückgehaltene Vergütungsaktien" and left a note for the client that this particular term might need to be revisited.
