English to German translations [PRO]
Law/Patents - Law: Contract(s) / Gesellschaftsgründung
English term or phrase: Memorandum, articles of association/incorporation etc.

ARTICLES OF INCORPORATION

INCORPORATED
IN
THE REPUBLIC OF THE MARSHALL ISLANDS
PURSUANT
TO
THE BUSINESS CORPORATIONS ACT

Später folgen noch Sätze wie: Within the limits fixed by these bylaws...

REPUBLIC OF SEYCHELLES

BUSINESS CORPORATIONS ACT

MEMORANDUM OF ASSOCIATION
AND
ARTICLES OF ASSOCIATION

Danke

Explanation:

Articles of association und articles of incorporation sind gleich.

In corporate governance, a company's articles of association (AoA, called articles of incorporation in some jurisdictions) is a document which, along with the memorandum of association (in cases where the memorandumexists) form the company's constitution, defines the responsibilities of the directors, the kind of business to be undertaken, and the means by which the shareholders exert control over the board of directors.

By-Laws (o statutes) vs. Articles of Incorporation

One way to think about the difference it to liken it to the difference between the Constitution and individual laws. The articles of incorporation, like the Constitution, provide the broad framework of a corporation and its government. The bylaws are individual statutes that address much more specific issues in greater detail, but must be consistent with the articles.
Bylaws and articles of incorporation are both important documents relating to a corporate business. Though similar, the two are distinct in form, features and function.
