An individual share certificate is characterised as follows:
The company has a fixed base capital. The base capital is divided into stocks, each of which represents an equal part of the base capital, that is, base capital sums that have different shares comparable to the different face amounts used so far are not allowed. The number of stocks fixed by regulations determines what fraction of base capital a single stock represents (e.g. one fortieth-billionth).
There is no face amount given on the stock certificate, but, for instance, the label "1 stock of the XY AG". The stockholder cannot determine their participation quota directly from the stock certificate. He has to look at the company's regulations in order to determine the total number of issued stocks. A capital measure that leads to a change in the share merely causes a change in the regulations and does not necessitate an adjustment to the stock certificate.
