In an option agreement, the seller gives the buyer the right to buy the property, either at a specific price or at a price to be agreed or determined. Thus the buyer can create the mutual commitment to sell and buy by giving notice exercising the option. By contrast, in a pre-emption agreement, the buyer has no right to buy the property unless and until the seller decides that he wishes to sell it. | Reference: clauza primului refuz/drept de preferinţă Reference information: Clauza primului refuz Stipulatia contractuala in temeiul careia unul dintre contractanti se obliga fata de celalalt contractant sa-i propuna a realiza impreuna in viitor, o anumita operatie comerciala cu preferinta fata de orice alt client, iar in cazul unui refuz al beneficiarului ofertei, cealalta parte ramane libera sa trateze cu oricare alt client.
