La segunda es cómo armar la frase en sí y evitar lo dicho por Sandro:

"No deberán ni el Comprador ni el Vendedor realizar o dejar de realizar ninguna acción, de cuya realización o no pueda desprenderse/esperarse razonablemente cualquiera de las condiciones previstas….."

Al final: "debiéndose ambas partes exigir idéntica obligación a sus empresas subsidiarias".

Digo lo de al final porque cuando hay este tipo de frase intercalada en inglés es una p*tad....

Mejor dejarlo para el final o darle de comer aparte....
