As a legal term of art, "due diligence" carries the same meaning as "due care," although the former is most often used in connection with the performance of a professional or ficuciary duty, whereas the latter is used more often in the law of torts. In civil laws of China, Taiwan, and Japan, there is no such terminological disinction, and the term “注意”is used to denote both "care" and "diligence" as a civil duty. I am inclined to believe that an English legal term with commonly accepted definition in the profession should be translated into an equivalent or "closely equivalent" Chinese legal term so far as possible,unless the term is used in its non-legal sense. Another meaning of "due diligence" is the care that a prudent person is expected to exercise in the examination and evaluation of risks affecting a business transaction, especially in the case of merger or acquisition of a business. In this sense, the term carries both commercial and legal significance, and should be translated into the same Chinese term as recommended for clarity.
