PASSPORT AGREEMENT



This Passport Agreement ("Agreement") including its addenda, exhibits and schedules, is made and entered into between the XXXXXXX entity ("XXXXXXX ") and the corporate entity ("Subcontractor") that are identified below and are the signatories hereto.

Whereas Under the provisions of the Subcontractor Agreement executed by and between and <insert Subcontractor executing entity>, of which the details are set forth below ("Subcontractor Agreement"), any XXXXXXX Affiliate and any Subcontractor Affiliate can avail themselves to the terms and conditions of that Subcontractor Agreement;

Whereas XXXXXXX and Subcontractor wish to avail themselves to the terms and conditions of that Subcontractor Agreement;

Now therefore, XXXXXXX and Subcontractor agree as follows:

1. Subject to the provisions of this Agreement, XXXXXXX and Subcontractor agree that the terms and conditions laid down in the Subcontractor Agreement of which the details are set forth below shall apply between them as if said Subcontractor Agreement has been executed by XXXXXXX and Subcontractor provided that this Agreement will not and does not grant the parties hereto to terminate the Subcontractor Agreement.

2. Appendix 1 to this Agreement contains, if any, terms and conditions in addition to, or in lieu of the terms and conditions of the Subcontractor Agreement. In the event of any conflict between this Agreement (including Appendix 1) and the terms and conditions of the Subcontractor Agreement, the terms and conditions of this Agreement (including Appendix 1) shall prevail, but only to the extent the conflicting term or condition explicitly states so.

3. Unless explicitly otherwise provided for in Appendix 1, this Agreement shall terminate upon termination of the Subcontractor Agreement. Such termination will however not affect any Task Order previously executed and the terms and conditions of this Agreement shall continue to apply to any Task Order then in force for the remainder of its term.

4. This Agreement is governed by the laws and subject to the dispute resolution procedure as stipulated in the Subcontractor Agreement.

Intending to be legally bound and having reviewed this Agreement in its entirety, XXXXXXX and Subcontractor have caused this Agreement to be executed by their authorized representatives as of the effective date ("Effective Date") written below.
