1.1. At any time after 3xxxx, the holder of the largest number of A Ordinary Shares (and if two or more A Shareholders equally hold the largest number of A Ordinary Shares, the first of such A Shareholders to appear on the Company’s register of shareholders) (the Majority A Shareholder) shall be entitled, upon serving written notice (a Sweep-up Transfer Notice) on any Shareholder (a Lasting Shareholder), to acquire the Shares held by that Lasting Shareholder for the market value per Share of such Shares (the Market Value).
