Dans une convention donnée antre A et B (et C souvent), une "side letter" est un contrat/acccord parallèle conclu par A avec un tiers (ou avec C) et qui, surtout, n'a pas vocation à être connue de B. C'est normal dans certains secteurs. Ici, visibement, non. Traduire par "parallèle" car indique davantage l'aspect confidentiel, voire caché, que "distinct". |
