It shall be a condition precedent to any Transfer of Shares that the Transferee executes and delivers a Deed of Adherence to this Agreement to the Company and to each of the other Parties and thereby undertakes to be bound by all existing obligations of the Transferor at such time upon which the selling Shareholder shall be discharged from its obligations under the Agreement.
