Explanation:
At least in American English, "officer" is often translated with "Direktor", but more information what kind of officer it is would be helpful.
As for "Independent Representative Agreement" I would try to see how "Unabhängige Vertretervereinbarung" fits.
Sales Leads seems to be one of those "Germish" terms, I found references with "Verkaufs-Leads".

Dierk

an 'airline officer'(!) and an international travel advisor.

Sales lead is a 'Verkaufs-Tip' or -Hinweis.

Hope you'll get some better suggestions, a bit more info might lift the blanks. Good luck.

Prokurist

Explanation:
In German, we often use the term "Prokurist" for a company officer who can sign for the company, without this privilege being attached to a specific position. What I mean is, any person in upper management could be made an "officer" or a "Prokurist" of a company by registering him/her as such in the corporate documents. The Schäfer translates "Prokurist" as "authorized officer".
As for the other two, I would go with the suggestion made by dierk.

"Vorstand" (meaning one person) or "Vorstandsmitglied"

Explanation:
The term "officer" is by no means new but it has become more and more widely used in the last ten years. As most specialized dictionaries have lead times approaching this ten-year figure, they often to not indicate the real significance of the term today. With the tidal wave of tiny American (followed by many other countries) Internet "e-everything" corporations, nearly everyone is an "officer" of some corporation. These persons are the handful of absolute top management of a corporation or limited company, no matter how large or small. Technically, according to British, German and American laws concerning corporate organization, such a person is a "Vorstand einer AG" or "Vorstandsmitglied" as Dietl/Lorenz – Wörterbuch für Recht, Wirtschaft und Politik, the latest of the following references shows:

Zahn – Wörterbuch Bank- und Börsenwesen, 1996 Edition, shows "leitender Angestelter"

Hamblock/Wessels – Großwörterbuch Wirtschaftsenglisch, 1995 Edition, shows "Vorstandsmitglied", "leitender Angestelter", "Mitglied der Unternehmensleitung"

Dietl/Lorenz – Wörterbuch für Recht, Wirtschaft und Politik, 2000 Edition, shows "leitender Angestellter eines Unternehmens", "Vorstand einer AG)

Before this slow change in usage, a "Vorstandsmidglied" or "Vorstand" (meaning one person, not the group) was usually referred to as a "member of the Board of Management" (AE) or "member of the Board of Directors" (BE). Especially in AE, but increasingly also in BE, these persons are referred to today as "officers of the corporation" (AE) or "officers of the company" (BE).

AltaVista queries for the phrases in quotation marks received many hits:

"officers of the corporation": 6,800 hits

including many small and large corporations (mostly US) and SEC filings, such as:

http://www.hwg.org/opcenter/hwginc/bylaws.html
and,
http://www.sec.gov/Archives/edgar/data/310158/0000950123-99-...

+"officers of the company" +.uk: 880 hits

including:

http://www.parliament.the-stationery-office.co.uk/pa/cm19979...
and,
http://www.ukdata.com/glossary.htm

"Directors are officers of the company and manage it in behalf of the shareholders. Every company must have at least one director. The secretary may be a director but not the sole director."

Today, in 2001, the only correct possibilities for "Officer (of a company)" are "Vorstand" (meaning one person) or "Vorstandsmitglied".

"Independent Representative Agreement" = "Vertrag/Vereinbarung bezüglich einer unabhängigen Vertretung"

"leads" ... as in sales leads could be: "Hinweise", "Tipps", "potentielle Kunden/Verkaufs-Hinweise"

Vorstandsmitglied / Prokurist

Explanation:
As suggested by other colleagues, both "Vorstandsmitglied" and "Prokurist" are right, partially depending on type of company of which these are an officer. In USA corporations any membner of the upper lmanagement is considered an officer. So then it could be a "Geschäftsführer" or even the financial manager.

Independent Representative Agreement = selbständige Vertretervereinbarung

There is no direct translation of a "sales lead" in German, to my knowledge. The best alternative is "prospective buyer" , which translates as a "Prospekt". This must be qualified to dsifferentiatze it from a leaflzet.
