Explanation:
"Term sheet" is "Konditionsvereinbarung". As for the "draft" portion, I'd probably go with something like "Konditionsvereinbarung - Entwurf" or "Konditionsvereinbarung - 1. Fassung"

Explanation:
i.e. a draft contract.
I know it is wider than "Konditions ..." but it sounds simpler and more direct. Terms are always part of an agreement.
