In the case of the commencement of any action or proceeding, the assertion of any claim or the imposition of any penalty or assessment by a third party (including tax authorities and other governmental agencies) for which indemnity may be sought pursuant to Sections 6.1 or 6.2 above (a “Third Party Claim”), the Purchaser or any Seller, as the case may be (the “Clai-mant”), shall, within twenty (20) days from the date on which the Third Party Claim has ari-sen (or within whatever shorter period is necessary to allow an appropriate legal response), provide the Sellers or the Purchaser, as the case may be (the “Notified Party”) with notice of such Third Party Claim, together with copies of all documents and information in connection with such Third Party Claim necessary to evaluate such Third Party Claim, and the Notified Party shall, upon receipt of such notice, be entitled to participate in, or at its option, assume (on behalf of the defendant of such Third Party Claim) the defense of such Third Party Claim with counsel selected by it and approved by the Claimant, and the Claimant shall fully cooperate with the Notified Party in connection therewith. In the event that the Notified Party fails to elect or elect not to participate in or assume the defense of such Third Party Claim within ten days after receipt of notice thereof from the Claimant, the Claimant shall have the right to undertake the defense thereof alone.

Claimant scheint doch hier der zu sein, der im Rahmen der Haftungsfreistellung (das waren die §§ 6.1 und 6.2) bei der Abwehr von Drittansprüchen beteiligt werden möchte. Wäre Freigestellte Partei passend? Mich irritiert der Begriff Claimant, eigentlich ist das doch hier eher die beklagte Partei??
