Defeasance as such means an arrangement under which a borrower's obligation to creditors is passed on to a third party. For example a bank, in exchange for a fee, might undertake to assume a company's obligation to make principal and interest payments to the company's debenture holders.

So if your "defeasance party" is the "third party" in above definition, I would simply translate it as "Schuldübernehmer"
