Existing Contract for Goods and/or Services. In the event that XXXX or any Affiliate (defined as any entity of which 50% or more of the equity is owned, directly or indirectly, by XXXX’s ultimate parent) of XXXX has entered into a master or other contract (“Master Contract”) with the Supplier for such goods or services as detailed in this Order and such Master Contract is in force at the time in which the Order is placed, then the terms and conditions contained in this Order shall be superseded by the terms and conditions of that Master Contract unless otherwise expressly specified in the Master Contract. The Order placed by XXXX or its Affiliate shall then be deemed to incorporate by reference all of the terms and conditions of the Master Contract in place of the terms and conditions of this Order.
