Normally, pertaining to the government, "carried interest" means that the foreign company will issue, free of charge, a certain percentage of shares to the government. This "carried interest" is given to the government in addition to the royalties, bonuses, and other contract payments (if any) to the investor.

This is a very common term, which is widely used in minerals mining, esp. in the oil and gas sphere. I have also seen it translated as "besplatnoye uchastiye", which I like less, since nothing in this life seems to be free.

Однако именно такой перевод предлагает Англо-русский экономический словарь под ред. Аникина (М., "Русский язык", 1977). Несмотря на относительную древность, словарь основательный и дает большой процент попаданий.
