Чтобы понять, какие права имеются в виду, предыдущие 2 предложения:
1. The Supplier shall have all rights of a secured party, including the right to file a financing statement under the Uniform Commercial Code or a comparable law within the Russian Federation to protect the Supplier’s security interest.
2. In the event the Distributor defaults in its payment obligations, the Supplier will have the right to enter the premises of the Distributor to recover possession of all the Supplier Products on said premises, and to pursue any other remedy existing at law or equity.
Помогите разобраться, при чем здесь prior hearing, к каким правам относится demand, и как все это грамотно изложить на русском с to waive.

Речь, по-видимому, о recover possession и связанное с эим possession hearing, которое должно состоятся перед тем, как поставщик сможет восстановить свои имущественные права на товар (или другое соответствующее разбирательство, если речь о предъявлении прав на активы дистрибьютора).
То есть это НЕ предварительное слушание (не устное разбирательство и т. п. предварительные этапы судебного разбирательства).
