agree  Kalaus: Формула "shall be given and taken" подразумевает *взаимные* обязат-ва сторон (прибл. аналог рус. клише "А обязуется поставить, а Б -- принять..." или даже "А продает, а Б покупает". Вариант rbd, на мой взгляд, не искажает смысл, только запятой не нужно.
