Existen tres modalidades básicas para la colocación de una emisión de bonos por parte de un emisor: la primera es la negociación de una suscripción con un compromiso en firme ("firm commitment") por parte del banco de inversión, en la cual el banco de inversión compra la emisión garantizando al emisor la colocación de la misma bajo los términos acordados; la segunda es la contratación de un banco de inversión para que suscriba y venda la emisión en base a sus mejores esfuerzos ("best efforts"), pero sin existir una garantía de compra de parte del banco; y la tercera es la suscripción contingente, en la cual se da la venta directa por parte del emisor sin la participación de un banco de inversión, con la condición que de no venderse la emisión el banco se compromete a comprarla ("standby underwriting"). Actualmente, en los mercados maduros, más del 98% de las emisiones en el mercado primario se realizan bajo la modalidad de la suscripción en firme por parte del banco de inversión.
