I'm translating a Settlement Agreement and cannot find the right word for the position of the person representing one of the parties.

The phrase is "XX, a company organized under the Laws of the US, represented by YY, MANAGING COUNSEL, holder of Passport no..."

I think it should be "XX, compañía constituida bajo la legislación de los EE.UU., representada por YY, CONSEJERO DELEGADO/ CONSEJERO GERENTE, titular del pasaporte nº..."

Mil gracias, Flavio!! Me parece muy acertada esta respuesta, aunque también me gusta la de "abogado principal". No me lo había encontrado nunca, supongo que es una figura frecuente en el derecho estadounidense.
