En España donde "company" se traduce como "sociedad" ¿es exactamente lo mismo "limited liability company" que "limited liability partnership"? "Partnership" siempre lo he visto como "sociedad civil" y "sociedad colectiva". Pero en la introducción de un libro que estoy traduciendo para España dice que La Ley de "Limited Liability Partnership" del año 2000 tiene como propósito crear "a new form of legal entity, the limited liability partnership". Me inclino por traducirlo como "sociedad" solamente, pero aunque en el texto que tengo no aparece "limited liability company", me pregunto qué diferencia, o cómo expresarla en español, existe entre una y otra. Creo que es lo mismo. En Chile no existe ninguna diferencia entre "compañía" y "sociedad". Puede ser que en España se haga alguna diferencia, pero si traduces siempre como sociedad, estará claro que se trata de una compañía o empresa.

Si hubiera alguna diferencia específica, estoy segura de que en el texto de la ley se especificará. Yo usaría los términos más genéricos, para no identificar la ley que traduces con ninguna terminología netamente española.

Es mi punto de vista. Me ha tocado hacer trabajos similares y soy muy preguntona, así es que lo que te digo son mis conclusiones después de muchos años de interrogar a mis clientes abogados (y al señor con que me casé hace 24 años, que también lo es).

Aunque tu pregunta dice específicamente que se refiere a España, tal vez esta información te sea de alguna utilidad.

Mi opinión es que no debes restringirte estrictamente a las formas de organización ya existentes en tu país, puesto que, por una parte, las formas de organización nunca son exactamente equivalentes, y por la otra, en muchos países están surgiendo formas nuevas de organización.

“LIMITED LIABILITY COMPANY” & “LIMITED LIABILITY PARTNERSHIP” SON FORMAS ORGANIZATIVAS DIFERENTES.

En Venezuela, el Código de Comercio usa “sociedad de responsabilidad limitada” y “compañía de responsabilidad limitada” indistintamente; sin embargo, en la práctica se usa sólo “sociedad de responsabilidad limitada”.

En visto algunas sociedades que usan la sigla “A.C.” (Asociación Civil), pero en la actualidad sólo a las asociaciones sin fines de lucro se les permite usar esta denominación. Hace unos años intenté constituir una A.C. y no me fue permitido, tuve que constituir una S.R.L.

He encontrado que en Uruguay y Paraguay existe la “Sociedad Simple” regida por el Código Civil, que parece ser exactamente equivalente a la “limited liability partnership”.
