This Master Prepayment Agreement (as amended, modified or supplemented from time to time, this "Agreement"), dated as of ??? among:

XXX ("Seller"), a duly established and registered corporation organized and existing under the laws of Uruguay;

YYY ("Buyer"), an exempt company organized and existing under the laws of the Cayman Islands; and

WITNESSETH:

WHEREAS, Seller is involved in international sales of MMM and the products thereof (the
"Goods").

WHEREAS, pursuant to certain supply contracts to be executed between Seller and Buyer (each substantially in the form of Exhibit 1, each a "Supply Contract" and collectively the "Supply Contracts"), Seller intends to procure delivery of the Goods and Documentation (as defined below) related thereto, to Buyer as further detailed herein;

WHEREAS, Seller has requested that, in connection with each Supply Contract, Buyer make an advance to Seller in United States Dollars in the corresponding prepayment amounts specifically identified in each such Supply Contract (each such amount as detailed in each such Supply Contract hereinafter, a "Prepayment"), each such advance shall constitute a prepayment advance by Buyer for the future delivery of
Goods;

NOW THEREFORE, in consideration of the mutual promises set forth herein, Seller and Buyer (referred to collectively herein as the "Parties") hereby agree as follows:

1. Upon the delivery to Buyer of an executed Supply Contract with the terms acceptable to Buyer,
Buyer shall within 4 Business Days of receipt of such Supply Contract, forward the relevant Prepayment to Seller at the bank account indicated by Seller in the corresponding Supply Contract,
provided that prior to such disbursement Buyer will have received:

a. one or more warehouse receipts including warrants (each a "Warrant" and collectively the "Warrants") and their related certificate(s) of deposit (each a "CD" and collectively the
"CD's") issued by ZZZ or its substitute representing stored Goods with a cumulative value equal to or greater than 120% of the Merchandise
Price and endorsed by the Seller in favor of the Buyer;
