As an inducement and in consideration of your making the Credit available, XXX ("Guarantor") does hereby unconditionally guarantee that it will make to you any due but unpaid payments under or pursuant to the Credit after your written demand upon YYY and Guarantor.
This guarantee constitutes and shall at all times constitute, a direct, unsecured, and unsubordinated obligation of the Guarantor, ranking pari passu and without preference and at least equally in priority of payment with all other present and future unsecured and unsubordinated obligations of Guarantor.
Guarantor hereby certifies and warrants to you that all acts, conditions, and things required to be done and performed and to have happened precedent to the creation and issuance of this guarantee, and to constitute a legal, valid, and binding obligation of Guarantor, enforceable in accordance with its terms, have been done and performed and have happened in due and strict compliance with all applicable laws.

"...La presente caución contituye, y en toda fecha deberá constituir, una obligación directa, sin garantía ni prelación por parte del Garante, de rango igual y sin preferencia y, por lo menos, con prioridad de pago igual a aquella de todas las obligaciones presentes y futuras del Garante, que no ofrezcan garantía ni prelación...."

Que no tiene derechos de prelación (preferencia) para su cobro por parte del acreedor, frente a otras deudas que se encuentren en las mismas circunstancias (no garantizados y sin derechos de prelación).
