Explanation:
El problema aquí es "engage somebody's liability" - me parece que una forma extraña de exprsarse.
Sin embargo, yo lo interpreto como "hacer responsable a alguien de alguna cosa"

Por lo tanto, yo traduciría esta expresión de la sigiente forma:
"hacer responsable a alguien por faltas de conducta graves"

misconduct = mala conducta; adulterio (sexual)

Me llama la atención la forma de formularlo; si "sb" es la compañía, podría referirse a "cometer graves faltas de conducta que comprometan legalmente a la compañía", "o comprometer legalmente a (sb) por inconducta grave".
Estaría más feliz si viera el párrafo completo, para aclarar quién carga con las faltas de quién :-)
