English term or phrase:SECOND AMENDED AND RESTATED BYLAWS
Please give me a possible translation but specially I need to know what the word RESTATED stands for.
restated can have one of two meanings in this context
Explanation: 1. The bylaws were fully amended by the partners and therefore were restated, or
2. The bylaws are a "compulsa", meaning that the document you have is the complete set of bylaws as they stand at this moment and include all amendments. For example, if the original bylaws stated "The partners shall be entitled to dividends on a yearly basis" and then, afterwards, they are modified to state "The partners shall be entitled to dividends on a monthly basis", the restated bylaws will include only the most recent version (monthly) as if the first (yearly) had never existed.
