The Agreement has been duly executed and delivered by Party B and, as supplemented and modified by the terms set forth in any Confirmation issued under the terms of the Agreement and or modified thereby constitutes the legal, valid and binding obligation of Party B, enforceable in accordance with its terms, subject to all applicable bankruptcy, insolvency, moratorium and similar laws affecting creditors' rights generally, and subject, as to enforceability, to general principles of equity (regardless of whether enforcement is sought in a proceeding in equity or at law).
