"A participant who attained this position during the year or at Company request was transferred out of the position but continued in employment with (Company), is eligible for a prorated share of compensation for the year. (...) The only exception to these proration rules will apply in situations where it is no longer possible to track the annual performance because of reorganization. In those situations, the former Manager will be "cashed out", that is, the annual goals will be prorated by time in position and then measured against year-to-date performance to determine achievement levels."
