RESOLUTION : (civil law)
a sanction consisting of the retroactive cancelation of obligations under a contract when one of the parties fails to respect his obligations. Just like "nullité" (a void contract)it has a retroactive effect. However, the former is sanctionning a failure to execute and not an inherent defect at the time when the contract was drawn up. (DALLOZ, Lexique des Termes Juridiques).

This is the difference between a VOIDABLE CONTRACT and a VOID CONTRACT.

- voidable contract = a valid contract which can be set aside by one of teh parties on such grounds as the misinterpretation or the exercise of undue influence. Voidable contracts are set aside be recission.
- void contract = a contract which is rendered void by some common-law or statutory rule or by some inherent defect. It has no legal force from the moment of its making.

Thus, "The results / The turnover provided by the licensee are [sufficient] grounds to enable the contract to be rendered void. The partner is thus hoping to attain a greater tunrover/better results".

The French isn't written particularly clearly. What it's trying to say is that if the licensee's sales don't match the projected figures, the contract could be cancelled.
