"sans pouvoir lui opposer un motif de notre chef ou du chef de notre donneur d'order" seems to be the difficulty and literally could be translated by "without having the option of opposing it on any ground either coming from us or from our originator (or client, or buyer)"

"de notre chef" means basically "coming from us". We more often see the expression "de mon (ton, son, notre, votre, leur) propre chef", meaning by myself (yourself, himself, etc.) The same way, "du chef de notre donneur d 'ordre" would mean "from our originator himself" (By the way, I think that the sentence should read "... opposer de motif de notre chef ou DU chef de notre donneur d'ordre.."
