Well we have gone heavily down the route of partnership. To hesitate a while. There is no doubt that the managing partners will need to value their holdings annually, in particular for goodwill earned to restate when a new partner enters or one leaves. We don't want to mix it up with a "pacte actionnaire" which generally deals with ensuring founder shareholders retain a preferential situation. What is frustrating is not knowing what ACTUALLY happens in these rather secret organisations.

Since you have a Partnership limited by shares, c'est exactement ce que j'allais vous suggérer: shareholder's agreement. The other solution would be General Partners' Agreement - since Swiss law uses "associés" for "commandités". See if it fits:

Eqivalent to a pacte d'actionnaires in that it sets out the obligations between the partners and the number of shares in the partnership which each of them holds etc.

Pacte d'actionnaires is usually a shareholders' agreement Daryo as I'm sure you know, which doesn't fit our purpose............

"pacte d'actionnaires", might be the equivalent act for any "société de personnes", but without more context, it's nothing more than a guess - possibly a wrong one.

Plus it's Swiss French - expect the unexpected!

Dario, thank you for your continuing efforts! To be frank I don't think the lawyers have the faintest idea. It's more of a can of worms. I do believe in your philosophy !!!

usually you get the real meaning of the label by looking at the content of the tin.

Do you have any sample of this type of document?

Or failing that, any indication at which stage of which process this document is needed, and for what purposes?

You mention "protocol" which I have always believed to be an international agreement but keeps turning up as something less...I've tried this on TERMDAT but it shows no special other use....are you suggesting memoranda ?

Oh I hadn't thought of that. After there is much support for contrat de société being Partnership agreement which seems good, how are we differentiating this....? SVP

It depends on the content. Have you seen it or is it only referred to? Could be some sort of pre-agreement (protocol/memorandum etc.) in which the partners state their intention to set up a partnerhip? Any reason not to use a direct translation - Agreement between partners?
