Protocol of agreement of [date] extended and extended annually? Obviously, this is not right so what DOES it mean?

This is a signed agreement. I believe that protocol of agreement is not especially clear in English, and that settlement agreement and other possibilities sound redundant. "Prorogé" is in this context better translated renewed to avoid redundancy with "extended"

GDT gives "memorandum of settlement" as the traduction for 'protocole d'accord', but I think 'agreement' on its own or 'general agreement' would be sufficient.

A "protocole" d'accord is the final fuller form of an agreement.

Lexique de termes juridiques, DALLOZ.

"protocole" (droit internat. public) : "terme synonyme d’accord entre Etats, de traité et employé plus spécialement pour désigner un accord qui complète un accord précédent".

So it would appear to be applicable to international puiblic law and specifically to treaties. You might like to think about what the United Nations has to say about it. Cf the « Définition des mots clefs utilisés dans la rédaction des traités » on

Furthermore, considering that one of the classic transaltions of « protocole d’accord » is « memorandum of an agreement », the UN also describes a term referred to as a « Mémorandum d'accord » :

"mémorandum d'accord" est un instrument international d'un genre moins formaliste. Il précise souvent les dispositions pratiques à prendre en application d'un accord international cadre. Il sert aussi à réglementer les questions techniques ou de détail. Il se présente de façon générale sous la forme d'un instrument unique et n'appelle pas de ratification. But then that is specific to treaties and although useful not perhaps that appropriate for your context. Here are two more examples from the Eur-Lex portal :

There appears to be a certian degree of freedom as to how this term can be translated. How about going for a ‘what-it-means’ type term : formal agreement ?

Draft agreement


Explanation:
Looked back through a few of my past translations for this term and on many occasions, the term to have done the job is quite simply "draft agreement".

It all depends. A "draft agreement" can be a very rough document indeed or the one which comes immediately before the final agreement which both parties will use. In any event, it is a certain way of formalising things, whatever stage the discussions are at. In your context, it might work, although I am not sure that a draft agreement woudl really be the term for an agreement which is extended and prorogated from one year to the next.
