Season to taste, of course: "transferor" could just as easily be "assignor"; "shares" could be "participatory interest"; and "cession" could be "assignment" (although in this context I'd tend to stick with "transfer" and "transferor").

As noted, the proposed transfer either "was intended to take place" or "was to have taken place" (the latter if it definitely didn't happen!).
